                 Transfer of Funds from the PHRD APEX Account (TF No. 083311) and PHRD
                 Multilateral Account (TF No. 083312) to the Health Emergency Preparedness and
                 Response Trust Fund (TF073509)


        Dear Mrs. Mei Leng Chang:

        1.       Reference is made to the Supplemental Arrangement between the Ministry of Finance of
        Japan (the “Donor”) and the International Bank for Reconstruction and Development and the
        International Development Association (collectively, the “Bank”) regarding the Policy and Human
        Resources Development Fund (PHRD) (TF No. 072610) effective as of July 21, 2016, as amended
        (the “Supplemental Arrangement”).

        2.       Pursuant to recent discussions between the Donor and the Bank, the Donor proposes to
        cancel the amount of three million eight hundred and four thousand eight hundred and forty six
        dollars and ten cents (USD 3,804,846.10) committed for PHRD - Special Fund for Policy and
        Human Resources Development (APEX) USD Window (TF083311- Fund balance transferred from
        the old PHRD Trustee). Upon countersignature of this letter, the Donor authorizes the Bank to
        transfer the amount to PHRD Multilateral Account (TF No. 083312) for subsequent transfer to the
        Health Emergency Preparedness and Response Trust Fund (TF073509) (USD 3,804,846.10).

        3.       The Donor consents to the disclosure of this letter and related information on the subject
        of this letter in accordance with the World Bank Policy on Access to Information.

4.      Please confirm your agreement with the foregoing, on behalf of the Bank, by
countersigning and dating two original copies of this letter and returning one countersigned original
to us.
