Amendment 1 to the Supplemental Agreement between the Federal Republic of Germany, acting
 through its Federal Ministry for the Environment, Nature Conservation and Nuclear Safety, and the
    International Bank for Reconstruction and Development regarding the Partnership for Market
                                 Readiness Multi-Donor Trust Fund

               (Trust Fund No. 073424, parallel to original Trust Fund No. TF071670)

1.      Reference is made to the Supplemental Agreement between the Federal Republic of Germany,
acting through its Federal Ministry for the Environment, Nature Conservation and Nuclear Safety (the
“Donor”), and the International Bank for Reconstruction and Development (the “Bank” and together with
the Donor, the “Parties” and each a “Party”), regarding the Partnership for Market Readiness Multi-Donor
Trust Fund (Trust Fund No. 073424) effective as of December 4, 2019 (the “Supplemental Agreement”).

2.     The Parties agree to amend the Supplemental Agreement as follows:

       (a)     Paragraph 2 is amended to read as follows:

               “2. The Bank acknowledges that the Donor agreed to provide the sum of eleven million
               one hundred ninety-three thousand one hundred thirty United States Dollars
               (USD11,193,130) (the “Contribution”) for the Trust Fund in accordance with the terms of
               the Supplemental Agreement, of which the Donor agrees to cancel and reduce the
               Contribution in an amount of eleven million one hundred ninety-three thousand one
               hundred thirty United States Dollars (USD11,193,130). The cancelled funds, together with
               any investment income earned on the cancelled funds until the date of transfer, will be
               transferred to the Partnership for Market Implementation Facility Multi-Donor Trust Fund
               (Trust Fund No. 073567) upon execution of Amendment 1 to the Supplemental Agreement
               between the Federal Republic of Germany, acting through its Federal Ministry for the
               Environment, Nature Conservation and Nuclear Safety, and the International Bank for
               Reconstruction and Development regarding the Partnership for Market Readiness Multi-
               Donor Trust Fund.”

3.     All other terms of Supplemental Agreement shall remain the same.

4.     The Bank shall disclose this Amendment in accordance with the Bank’s Policy on Access to
       Information. By entering into this Amendment, the Donor consents to such disclosure.

5.     Each of the Parties represents, by confirming its agreement below, that it is authorized to enter into
this Amendment and act in accordance with these terms and conditions. The Parties are requested to sign
and date this Amendment, and upon possession by the Bank of this fully signed Amendment, this
Amendment shall become effective as of the date of the last signature.
