        Excellency:

                We refer to the:

        (i)    Financing Agreement between the Republic of Togo (“Recipient�) and the International
        Development Association (“IDA� or “Association�) for the Community Development Project,
        H409-TG dated July 16, 2008 as amended to date (“Original Financing Agreement�).

        (ii)      Project Agreements between the Association and the Recipient’s five Agences d’Appui aux
        Initiatives de Base (“AGAIB�): AGAIB-Plateaux, AGAIB-Kara, AGAIB Savanes, AGAIB-
        Maritime and AGAIB-Central dated July 16, 2008.

        (iii)   Food Price Crisis Response Trust Fund (“FPCR TF�) Grant Agreement, Co-financing of
        the Community Development Project, FPCR TF Grant Number TF 093124 related to Grant
        Number H 409-TG between the Recipient and the Association acting as Trustee of the Food Price
        Crisis Response Trust Fund, dated October 23, 2008 (“The Trust Fund Co-Financing Agreement�).

        (iv)    Financing Agreement between the Recipient and the Association for the Additional
        Financing for the Community Development Project H602-TG dated July 20, 2010.

               We also refer to your letter dated March 4, 2011, requesting a reallocation of proceeds for
        the IDA Grant Number H409-TG and the TF Grant Number TF 093124.

               We are pleased to inform you that the Bank agrees to your request. Consequently, the
        Bank proposes to amend as follows:
I.       The Original Financing Agreement:

1.       The Section II A. Project Reports 1. is deleted in its entirety and shall read as follows:

“The Recipient shall monitor and evaluate the progress of the Project and prepare in accordance
with the provisions of Section 4.08 of the General Conditions, the Monitoring and Evaluation
Manual, and on the basis of indicators acceptable to the Association.�

2.       The table specifying the categories of Eligible Expenditures that may be financed out of
the proceeds of the Financing Section IV. A. 2     Withdrawal of the Proceeds of the Financing is
deleted in its entirety and shall read as follows:
