                  First Restatement of the Disbursement letter dated May 16, 2019
          Additional Instructions: Disbursement and Financial Information Letter (DFIL).

Excellency:

         I refer to the Financing Agreement between The Republic of Cameroon (the “Borrower”) and the
International Development Association (the “Association”) for the above-referenced project, of even date
here with. The General Conditions, as defined in the Financing Agreement, provide that the Association
may issue additional instructions regarding the withdrawal of the proceeds of Financing 6140-CM
(“Financing”), and specify certain financial management reporting and audit requirements. This letter
(“Disbursement and Financial Information Letter” or “DFIL”), as revised from time to time, constitutes
such additional instructions.

        This Disbursement Letter is a First Amendment of the Disbursement and Financial Information
Letter dated May 16, 2016 for the above referenced project to restate Schedule I to the financial institution
at which the designated account will be opened.

       All other provisions and attachments of the Disbursement and Financial Information Letter dated
May 16, 2016 except as amended, shall remain in force and effect.
