          Re: Loan No. 2826-MOR (Greater Casablanca Sewerage
              Project)
              Amendment to Loan Agreement
Excellency:
     We refer to the Loan Agreement dated July 27, 1987 between the
Kingdom of Morocco (the Borrower) and the International Bank for
Reconstruction and Development (the Bank) for the above-captioned
Project and to recent discussions between representatives of the
Borrower and the Bank concerning an amendment in the disbursement
schedule for this Loan.
     We wish to inform you that the Bank hereby agrees to amend the
percentage of expenditures to be financed under Category (1) (d) set
forth in the table in paragraph 1 of Schedule 1 to the Loan
Agreement to read "100%".
     Please confirm your agreement to the foregoing amendment by
signing the form of confirmation below and returning this letter to
us. This amendment shall take effect upon the Bank's receipt of this
letter confirmed by you.
     In view of its interest in the foregoing, we are sending a
copy of this letter to Regie Autonome Intercommunale de Distribution
d' Eau et d' Electricite de Casablanca.
