Amendment No. 3 to the Administration Agreement between the Bill and Melinda Gates Foundation
 and the International Bank for Reconstruction and Development and the International Development
 Association concerning the Umbrella Facility for Gender Equality (UFGE) Multi-Donor Trust Fund
                                     (Trust Fund No. 072809)

1.      Reference is made to the Amended and Restated Administration Agreement between the Bill and
Melinda Gates Foundation (the “Donor”) and the International Bank for Reconstruction and Development
and the International Development Association (collectively, the “Bank”, and together with the Donor, the
“Parties” and each a “Party” concerning the Umbrella Facility for Gender Equality (UFGE) Multi-Donor
Trust Fund No. 072809 (the “Trust Fund”) effective as of January 15, 2021 (the “Administration
Agreement”).

2.      The Parties agree to amend the Administration Agreement as follows:

(a)     Paragraph 2 of the Administration Agreement shall be deleted and replaced with the following:

        “2.      In addition to the previously contributed amounts as stated above, the Donor shall
        deposit an      additional    amount      in     the     sum     of thirteen million six hundred
        eighty-five thousand five hundred twenty-nine United States Dollars (USD 13,685,529) in
        accordance      with    the   following    schedule     and   in    the    currency      specified
        in this paragraph (“Contribution Currency”) into such bank account designated by the Bank (each
        amount deposited hereinafter referred to as an “Installment”) upon submission of a payment
        request by the Bank:

        (A)     By September 30, 2021 – USD 3,600,000
        (B)     By November 30, 2021 – USD 998,965
        (C)     By January 15, 2022 – USD 1,138,324
        (D)     By September 30, 2022 – USD 3,641,676
        (E)     By November 30, 2022 – USD 682,171
        (F)     By January 15, 2023 – USD 1,065,452
        (G)     By September 30, 2023 – USD 2,558,941”

3.      All other terms of the Administration Agreement shall remain the same.

4.     Each of the Parties represents, by confirming its agreement below, that it is authorized to enter into
this Amendment and act in accordance with these terms and conditions. The Parties are requested to sign
and date this Amendment, and upon possession by the Bank of this fully signed Amendment, this
Amendment shall come into effect as of the date of the last signature.
