We are pleased to acknowledge on behalf of the International Bank for Reconstruction and Development ("IBRD") and the International Development Association ("IDA") (collecti iely, the "Bank") the intention of the Kingdom of Spain (the "Donor") acting through its Ministry of Foreign Affairs and Cooperation, to transfer to the Umbrella Facility for Gnder Equality (UFGE) Multi-Donor Trust Fund (the "Trust Fund") the unused amounts in the Multi-Donor Trust Fund for the Gender Action Plan TF070751 attributaDle to the Donor (the "Contribution") in accordance with the terms of this Agreement. Other donor: are also expected to contribute to the Trust Fund on the terms and conditions specified in the Annexes to this Agreement. 2. The Contribution shal be used to finance the activities and the categories of expenditure set forth in the "Description of Activities, Allocation of Funds and Expenditures under the UFGE Multi-Donor Trust Fund" attached hereto as Annex 1, and shall be administered by the B ink on behalf of the Donor in accordance with the terms of this Agreement including the ' Standard Provisions Applicable to the UFGE Multi-Donor Trust Fund" (the "Standard P-ovisions") attached hereto as Annex 2 and "Governance -2- anJ Other Terms Applicable to the UFGE Multi Donor Trust Fund" attached hereto as Yknnex 3. ^ . The Contribution will use funds from the Gender Action Plan (GAP) TF070751 Multi-Donor Trust Fund. Accordingly, the Donor hereby authorizes the Bank, promptly fcllowing countersignature of this Agreement, to transfer the sum of five hundred and fifty thousand, seven hundred and seventy United States Dollars and fifty cents (USD 550,770.50) plus tle Donor's pro-rata share of any investment income that may have accrued until the date of transfer from the GAP Trust Fund (TF070751) to the Umbrella facility for Gender Equality (L FGE) Multi-Donor Trust Fund (TF071893). 4. A. DESCRIPTION OF ACTIVITIES The main objectiv- of the Trust Fund is to strengthen awareness, knowledge, and capacity for gender.informed policy making and programs. The Trust Fund will support activities that contribute to.better gender-informed policy making at the country level by ircreasing the availability of gender-relevant data and evidence; contribute to global bnowledge by road testing neN evidence; and help raise awareness of and demand for gender equality interventions by working in partnership with client governments, civil society, research institutes, academia, the private sector, and development partners. Activities Tie Trust Fund wi.1 finance activities with a strong 'public good' element, as well as t iose that are innovative and push the frontiers of gender equality work. Activities to be f lanced by the Trust Fund wil[ fall under three main priority areas: I Increasing availability of gender-relevant data and evidence. Activities will include addressing data gaps, making existing data more accessible and building evidence in frontier areas and those where gender gaps persist. I Road testing new evidence. Activities will include identifying relevant lessons on how dcvelopment practitioners can effectively translate new evidence into results on the groLnd, such as strengthening and expanding successful approaches. I '. Leveraging partnerships to help advance gender equality. Under this activity the Bank will engage civil society and private sector, especially from developing client cotntrics to identify, disseminate and implement innovative gender equality initiatives. (b) Prog-am Management, Program Administration and Knowledge Management: The PREM Gender and Development Group (PRMGE) will coordinate the day to day activities including leveraging global partnerships, aggregate knowledge management activities and administering tf e Trust Fund, working in close collaboration with regions and networks. (1l) Recipient-Executed TrL st Fund Activities: (a) Activities relate d to priority areas I (Increasing availability of gender- relevant data and evidence), and II (Road testing new evidence). B. CRITERIA FOR ALLOCATION OF FUNDS The Gender and Development (GAD) Board is responsible for allocation decisions, and ensuring that such allocations are aligned with the objectives of the UFGE and the st-ategy for gender mainstreaming i:1 the Bank. Tie GAD Board wil make allc cation decisions based on the following general criteria: * Alignment with the Bark's strategy for gender mainstreaming. * Alignment with Regional needs and priorities, as laid out in the Regional Gender Action Plans. * Alignment with the ove -all objectives of the UFGE: to strengthen awareness, knowledge and capacit3 for gender-informed policy making. * Extent to which activitios have a strong public-good rationale and/or are catalysts for innovaticn and investment in frontier issues and persistent gaps. Funds under the UFG3E will mainly be allocated through: B 1. Strategic Allocations a) Strategic Activities: Activities related to priority areas I (Increasing avaitability of gender-relevant data and evidence) II (Road testing new evidence), and [II (Leveraging partnerships) mentioned above. b) Regional Block Grants (for both, Bank and Recipient execution): These will cover a three-year period and be considered once every 18 mo,iths, depending on funding availability. Proposals must be endorsed by the Regional Vice President. The GAD Board will review and approve proposals based on the criteria above. -6- 2. For Bank-executed activities, the employment and supervision of any consultants aid the procurement of any go)ds financed by the Contributions will be the responsibility of the Bank and will be carried out in accordance with its applicable policies and procedures. 6. Accounting and Financial Reporting 6.1. The Bank will maintain separate records and ledger accounts in respect of the Contributions deposited in the rust Fund account and disbursements made therefrom. 6 2. The Bank will furnish to the Donors current financial information relating to receipts, disbursements and fu id balance in the holding currency of the Trust Fund with respect to the Con-:ributions via tie World Bank's Trust Funds Donor Center secure w ebsite. Within six (6) months after all commitments and liabilities under the Trust Fund have been satisfied and the Trust Fund has been closed, the final financial information r.lating to receipts, disbursements and fund balance in the holding currency of the Trust Find with respect to the CortribUtions will be made available to the Donors via the World Bank's Trust Funds Donor Center secure website. 6,3. The Bank will provide to the Donors, within six (6) months following the end of each Bank fiscal year, an annual single audit report, comprising (1) a management assertion together with an attestation from the Bank's external auditors concerning the adequacy of internal control over cash-based financial reporting for all cash-based trust fEnds as a whole; and (2) a combiled financial statement for all cash-based trust funds together with the Bank's external aaditor's opinion thereon. The cost of the single audit will be borne by the Bank. 6.4. If a Donor wishes to request, on an exceptional basis, a financial statement audit Ev the Bank's exte nal auditors of the Trust Fund, the Donor and the Bank will first consult as to whether such an .xternal audit is necessary. The Bank and the Donor will agree on the appropriate sccpe and terms of reference of such audit. Following acceptance on the scope and terms of reference, the Bank will arrange for such external audit. The costs of any such audit, including the internal costs of the Bank with respect to such audit, will be paid by tEe requesting Donor. 6.5. The Bank will provide the Donors with copies of all financial statements and auditors' reports received by the Bank from the Recipient(s) pursuant to the Grant Agreements. - 10- ". Progress Re)orting ". L. The Bank will provid. the Donors with an annual report on the progress of ,.ativities financed by the Cont-ibutions. Within six (6) months of the final disbursement d(ite specified in paragraph 8.:, the Bank will furnish to the Donors a final report on the activities financed ty the Trust Fund. 7.2 Any Donor may review or evaluate activities financed by the Trust Fund. The Donor and the Ban< will agree on the scope and conduct of such review or evaluation, and the Bank will )rovide all relevant information within the limits of its policies and procedures. All associated co3ts will be borne by the Donor. It is understood that any such review or evalaation will not constitute a financial, compliance or other audit of the Trust Fund. Disbursement, Cancell tion. Refund 8. 1. The Contributions my be used to retroactively finance payments made as of June 01, 2012 for eligible expenditures in accordance with the Bank's policies and procedures. 8.2 It is expected that the Contributions will be fully disbursed by the Bank by June ^ 0, 2017. The Bank will only disburse Contributions for the purposes of this j rrangement after such date w th tFe written approval of the Donors. .3 Any Donor or the Bank may, upon three (3) months' prior written notice, cancel all or part of the Donor's pro rata share, of any remaining balance of the Contributions ti at is not committed pursuant to any agreements entered into between the Bank and any coisultants and/or other third parties for the purposes of this Arrangement prior to the receipt of such notice, including the Grant Agreements. E.4. Following the final disbursement date specified in paragraph 8.2, the Bank will return any remaining balance cf the Contributions to the Donors or to the relevant Donor Balance Account on a pro ratn basis based on the Donors' paid Contributions. In the event of a cancellation the Bark will promptly return to the relevant Donor or Donors or to the relevant Donor Balance A.count the Donor's pro rata share of uncommitted Contributions in accordance with p2.ragraph 8.3. 9. Disclosure The Bank w 11 disclose this Arrangement and related information on this Trust Fund in accordance with the World Bank Policy on Access to Information. By entering iito this Arrangement, Donors consent to disclosure of this Arrangement and related iiformation on this Trust Fund - 11 - ANNEX 3 Governance and Other Terms Applicable to the UFGE Multi-Donor Trust Fund he following govermance ternis will apply to the Gender Equality (UFGE) Trust Fund: I .The Donors agree that the Bank has responsibility for Trust Fund operations uider the terms of this Adninistration Arrangement, including with respect to the Clocation of funds, the implementation of Bank-executed activities and the supervision oL Recipient-executed activities. For clarity, decisions on work programs and allocation ' funds will be made by the Bank. 2 The Bank agrees to conve le annual meetings to which all Donors are invited (-Annual Consultat ons"). Th.- purpose of the Annual Consultations is for the Bank and the Donors to discuss: a) Results (as cefined below) presented by the Bank; b) future program plans piesented by the Bank; c) broad strategic guidanc ref ective of (a) and (b). "Results" w 11 be repor:ed by the Bank and reviewed at the Annual Consultations ci the basis of a results framework for the Trust Fund issued by the Bank upon csiablishment of the Trust Fund, derived from the results framework of the relevant Bank-endorsed sector / thema:ic s1rategy and providing sufficient granularity to reflect the anticipated contribution of the Trust Fund, as may be modified over time to reflect actual Contribution, and other external factors. 4.
