We refer to: (i) the Financing Agreement between the People's Republic of Bangladesh (the "Recipient") and the International Development Association (the "Association") dated January 10, 2013 as amended (the "Financing Agreement") regarding the Reaching Out-of-School Children Project II (the "Project"); (ii) the Aide Memoire for the Mid-Term Review of the Project dated October 25, 2015- January 24, 2016 which records the agreement between the Recipient and the Association to take certain actions; and (iii) the letter from ERD dated December 12, 2016 requesting for certain amendments to the Financing Agreement. 2. We are pleased to inform you that the Association hereby accedes to your requests contained in the documents mentioned above. Consequently, the Financing Agreement is hereby amended as set forth below: A. All other terms of the Financing Agreement shall remain the same. 5. Please confirm your agreement to the amendment set out above by having an authorized representative of the Recipient sign and date the form of confirmation on the enclosed duplicate original of this letter and returning it to us for our files. Upon receipt of the copy of this letter countersigned on behalf of the Recipient, this amendment will become effective as of the date of the countersignature.
