Withdrawal from the Bangladesh Health Sector Development Program Multi-Donor
Trust Fund (TF No. 071778)
Dear Mr. Hutchesson:
1.    We refer to the Administration Agreement, dated April 17, 2012, as amended
(the "Administration Agreement"), between the International Development Association
("IDA" or the "Association") and the Government of Australia, acting through the
Australian Agency for International Development now integrated into the Department of
Foreign Affairs and Trade, as notified to the Association on November 1, 2013 (the
"Donor"), concerning the Multi-Donor Trust Fund for the Bangladesh Health Sector
Development Program (TF No. 071778) (the "Trust Fund"). Capitalized terms used but
not defined in this letter have the meanings given to them in the Administration
Agreement.
2.     Pursuant to the letter dated April 17, 2014 of Dr. Lucinda Bell, A/g High
Commissioner, Australian High Commission, Dhaka, informing the Bank of the Donor's
desire to withdraw from the Trust Fund, it is agreed that:
(a)   The unpaid contribution due from the Donor to the extent of twenty-five
million and one hundred thousand Australian Dollars (AUD25,100,000)
committed under the Administration Agreement is hereby cancelled as of
April 30, 2014 ("Cancellation Date").
(b)    In accordance with paragraph 8.2 of Annex 2 to the Administration
Agreement, the Donor's pro rata share of any uncommitted balance of the
Trust Fund is cancelled as of the Cancellation Date, effective as of the date
of countersignature by the Donor of this letter.
(c)    Following the date of countersignature by the Donor of this letter, the
Bank will notify the Donor of the amount of its pro rata share of any

remaining balance of the Trust Fund. The Donor hereby instructs the
Bank to transfer any such pro rata share to a bank account to be designated
by the Donor.
(d)   Except as provided in paragraph (c) above, as of the Cancellation Date the
Donor shall have no further rights with respect to the Trust Fund including
no rights to participate in any applicable governance arrangements of the
Trust Fund, and the Bank shall have no further obligations to the Donor
under the Administration Agreement, including no obligation to provide
financial or progress reports.
3.    The Bank will disclose this letter and related information on this Trust Fund in
accordance with the World Bank Policy on Access to Information. The Donor hereby
consents to the disclosure of this letter and related information on this Trust Fund.
Please confirm your agreement to the foregoing, on behalf of the Donor, by
signing, dating, and returning to us the enclosed copy of this letter.
