            – Amendment of Grant Amount


                    We are pleased to inform you that the steering committee for the Program on Forests
            (PROFOR) has approved an additional financing to the above referenced Project in the amount of
            US$ 750,000. Accordingly, we would propose the following amendments to the Trust Fund
            Grant letter agreement (the “Letter-Agreement�) dated March 3, 2010, and countersigned by the
            Republic of Liberia March 8, 2010:

            1.     The table set forth in Section 3.01 of the Letter-Agreement (Withdrawal of Grant
            Proceeds) shall be modified by reflecting the revised total amount of the Grant as US$ 1,150,000,
            which amount shall be allocated entirely to the Category (1) (Goods, Training and Workshops,
            Operating Costs and consultants' services).


                     Please confirm your agreement to the foregoing by signing and dating below. Upon
            receipt by the World Bank of the countersigned copy of this letter, this amendment shall become
            effective as of the date of the countersignature.
