Amendment to the Grant Agreement
Excellency:
We refer to the Grant Agreement, dated April 23, 2012 ("Grant Agreement"), between
the Republic of Yemen ("Recipient") and the International Development Association ("World
Bank"), acting as administrator of grant funds provided by Japan under Japan Social
Development Fund ("JSDF"), for the above-referenced Project ("Project"). We also refer to your
letter, dated May 8, 2013, requesting for amendments to the Grant Agreement.
We are pleased to inform you that the World Bank concurs with your request, and
consequently the Grant Agreement is amended as set forth below:
I.     The implementation responsibilities of the Biogas Digester Project shall be transferred
from "PCU" or Project Coordination Unit of the Ministry of Agriculture and Irrigation (MAI) to
the "PSU" or Project Support United of MAI, therefore, all references to "PCU" or Project
Coordination Unit shall be deleted and replaced with "PSU" or Project Support Unit throughout
the Grant Agreement.
2.     Paragraph 1.02(c) of the Annex to the Grant Agreement is deleted in its entirety and
replaced as follows:
"1.02(c). "PSU" means the Project Support Unit of the MAI, as referred to in paragraph
2.03 of the Annex to the Grant Agreement.
Except as specifically amended by this Amendment Letter, all other provisions of the
Grant Agreement remain in full force and effect.


Please confirm your agreement to the foregoing by signing the form of confirmation set
forth below and returning one fully executed original of this Amendment Letter to us and
retaining one original for your records. This amendment letter shall become effective as of the
date of countersignature.
