No I. PROJECT STATUS AND RATIONALE FOR RESTRUCTURING 1. This Restructuring Paper seeks approval to restructure the CEMAC Transport and Transit Facilitation Project (CEMAC TTFP; P079736) for Cameroon (Credits no. 4659-CM and 4987-CM). The proposed restructuring is related to the completion of rehabilitation works of the Mora - Dabanga - Kousseri road (205 km), which is of critical regional importance, and is situated in an active military conflict area in the Far North region of the country. 2. The implementation of the CEMAC TTFP continues to be rated Unsatisfactory due to: a) the continued challenging security situation in Northern Cameroon and Central African Republic (CAR) affecting the implementation of the project- financed major road works; and b) the road works component in Chad, which has been delayed due to poor performance by the contractor, resulting in a delayed contract cancellation by the Government of Chad (GoCh). Additionally, there have been significant delays to the contribution of the counterpart funding (75% of the road works financing) by the GoCh. That is because the country is facing a difficult fiscal situation due to oil price drop. 3. As of to date, the progress towards achievement of the PDO remains Moderately Unsatisfactory, and the implementation per component is as follows: Component A (Roads and Railways Infrastructure Improvement). (i) in CAR: the Baoro-Bouar road rehabilitation works contract is still to be procured, and is now processed with OPRC for an anticipated final award by the beginning of November, 2017. attribution by October 30th 2017. After a successful first phase, a second phase of a US$8 million labor- intensive program for the rehabilitation of urban roads in Bangui is now implemented, which will provide jobs for unemployed youths and help to improve basic road infrastructure in the capital city; (ii) in Cameroon: besides the resumption of the Mora-Dabanga-Kousseri road works, the Ngaoundéré-Garoua and Mbéré-Ngaoundéré road works have been handed over to the Government. The final payment certificates are yet to be endorsed and paid. Regarding the rail component, the rehabilitation works of 175km of rail track are now progressing at a satisfactory manner. It is expected that the works will be completed by end of December, 2017; and (iii) in Chad, the Bongor ongor orKelo road works contract has finally been terminated by the GoCh due to the poor performance of the contractor and also given the worsening fiscal situation of the GoCh who no longer has the capacity to finance the works. The World Bank CEMAC - Transport-Transit Facilitation (P079736) Component B (Transit and Transport Facilitation (TTF) Activities). Along with the implementation of the TTF activities of the Project, a more specific attention is now paid to the strengthening of the regional dialogue on Trade Facilitation between the Transport and Customs Administrations of the three countries involved, with the engagement of the private sector, and focusing on the implementation of the new CEMAC transit regime. That is because the latter is yet to be effective despite its endorsement by the CEMAC in 2010. In the meantime, Cameroon customs are about to shift to a new customs system which will require Chad and CAR to adjust theirs to be able to reconcile their customs information data with the Cameroon’s ones. Component C (Customs and Transport Sector Institutional Strengthening and Capacity Building). Discussions are on- going in Chad and CAR to replicate the lessons learnt, best practices and results achieved in Cameroon under the "Africa Road Safety Corridor Initiative" (ARSCI). That is because, this activity has achieved good results in Cameroon. 4. In response, the CEMAC TTFP was restructured in January 2016 to: (i) extend the Project’s closing date by three years; (ii) introduce specific implementation arrangements for a designated Force Account in Cameroon; and (iii) reallocate Credit/Grant proceeds for CAR, Cameroon and Chad. An additional budget reallocation for CAR, Cameroon, and Chad was completed in December 2016. 5. Subsequently, and considering the multiple security challenges and the difficulties experienced in attracting private contractors to work in the Far North region of Cameroon, the CEMAC TTFP underwent a Level 1 restructuring in February 2017 to allow the resumption of the Mora-Dabanga-Kousseri road works by the Cameroonian Army Corps of Engineers (ACE) under an Output-Based-Disbursement-Force-Account (OBDFA) approach executed by the Cameroon Army Corps of Engineers (ACE) under a Collaboration Framework (CF) between the Ministry of Defense (MINDEF) and the Ministry of Public Works (MPW). The CF was signed on March 6, 2017 and the works contract between the ACE and the MINTP was signed on August 10, 2017. 6. The unprecedented use of military-related entities for both implementation and security presents an array of High risks which includes: (a) security risks; (b) social risks; (c) safeguards risks; and (d) reputational risks - as well as (e) fiduciary risks; (f) technical and operational risks. To mitigate these risks, a comprehensive risk mitigation framework was prepared, including a set of robust mitigation measures which are based on: (i) a social assessment that was conducted in the Project area in September 2016; and (ii) an assessment of fiduciary risks of the ACE. For the purpose of mitigating social, safeguards and reputational risks, a Grievance Redress Mechanism (GRM) is about to be set up, and Military Personnel involved in the operation and in the Project area have received a proper training in international humanitarian law (IHL), civilian-military engagement, gender–based violence and other relevant areas. The GRM contract was signed on September 15, 2017 and four IHL training sessions have already been carried out in January, July (2), and August, 2017. As of September, 2017 1,148 people have been trained. 7. Fiduciary risks relate to the procurement and financial managements risks triggered by the decentralized OBDFA approach and by the use of ACE as the main procuring entity. Mitigation measures include: (i) Disbursement Account management will be under the responsibility of the Ministry of Finance/Autonomous Amortization Fund (Caisse Autonome d'Amortissement - CAA) for the purpose of direct payments to the suppliers of key inputs; (ii) Disbursement of IDA resources to ACE will be subject to prior financial and technical verifications by a decentralized OBDFA unit and external Supervision Consultants, as well as by an independent Financial Verifier and Technical Auditor, with further certification by a Works Validation Commission. Certified works will be paid, through the Designated Account of the Project managed by the CAA on behalf of the Ministry of Public Works The World Bank CEMAC - Transport-Transit Facilitation (P079736) (MPW), on a specific ACE bank account dedicated to civil infrastructure projects; (iii) The IDA funds for the works that are being executed through the OBDFA approach would be disbursed against independently verified outputs and defined specifications, based on a pre-agreed output unit cost, and supported by the monitoring of construction materials’ quantities. The decentralized ODBFA unit through its fiduciary expert in collaboration with the external Supervising Engineer will validate the delivery of the supplies and monitor the variation of stock; (iv) The project’s fiduciary processes will be managed by the Project Implementation Unit (PIU) and the decentralized OBDFA unit, with no military involvement in any decision-making or administration. ACE will receive payments based on results after works have been verified based on reports from the decentralized OBDFA unit and the external supervision firms. Any deviations will be elevated to an Inter-Ministerial Steering Committee chaired by MPW. (v) Procurement of materials, inputs for equipment, equipment rental and subcontractors required to execute the works will be carried out by ACE using its own procurement process and procedures with rigorous quality checks and inspection of the stock by MPW, as reflected in the operational manual. (vi) The World Bank’s Fraud & Corruption clauses will be included in any suppliers contract, including the ACE works contract to be signed with the MPW; and (vii) An independent auditor will be recruited to audit the Project including the force account arrangements. 8. Any verification and mitigation mechanism will be put in place to ensure that IDA resources are used exclusively for eligible expenditures. All these required adjustments will be reflected in an updated Project Operations Manual. 9. In addition, and to complement the above mentioned mitigations measures: (i) Two external supervision engineering consulting firms (CIMA and STUDI), already previously hired under the Project, will now supervise and ensure quality control of the rehabilitation works executed by ACE, including prompt verification of the outputs to enable disbursement requests to be submitted to the World Bank shortly after works have been completed; and (ii) the World Bank has recruited a Third Party Monitoring Agency (TPMA) to assist the World Bank with Project supervision and implementation support since World Bank staff cannot travel to the area due to security restrictions. 10. The Project is in compliance with key covenants, including audit and financial management reporting requirements. The Original Financing (covering Cameroon, CAR, and Chad) has disbursed 90.4% all of its funds a total of XDR132.9million; the First Additional Financing (AF; covering Cameroon, and CAR) has disbursed 71,1% of its resources of a total of XDR138.6million; the Second AF (covering Cameroon) has disbursed 18,6% of its resources of a total of XDR$70.7million; and the Third AF (covering CAR) has disbursed 7.32% out of a total of XDR80.7million. The Project has complied with all environmental, social and fiduciary safeguard requirements, and both financial management and procurement have been carried out in accordance with the Bank Financial Management and Procurement Guidelines. 11. In 2015, INT substantiated an allegation of attempted extortion of kickbacks in Cameroon by a GoC Official to release the payments to a consultant related to the project. The payment has since been released and the GoC official is no longer involved in the project management. INT currently has an open case in CAR that is in the early stages of the investigation. II. DESCRIPTION OF PROPOSED CHANGES 12. This third, proposed Level 2 restructuring would adjust the Credits no. 4659-CM and 4987-CM Disbursement Letters to allow for a US$49 million advance payment to the Cameroonian Army Corps of Engineers (ACE) for the designated Force Account. The advance amount (US$49 million) will be released in phases: The first advance will be The World Bank CEMAC - Transport-Transit Facilitation (P079736) released based on an agreed work plan. The subsequent advances will be released based on agreed work plans and related certified eligible works and expenses endorsed by the Works Certification Commission set for the purpose of the OBDFA approach as part of the Risks Mitigation Framework of the Project. 13. As approved in the February 13, 2017 Level 1 restructuring, the advances will be transferred to the Ministry of Finance (MoF) through the CAA. They will be used by the ACE to execute all necessary works to complete the verified outputs required to meet the withdrawal conditions as per Sections IV.B.1 and IV.B.2 of the Credits no. 4659-CM and 4987-CM modified financing agreements dated March 6, 2017. That is because the ACE does not have a sufficient financial capacity to pre-finance such preparatory works. 14. The proposed restructuring also introduces the following changes: a. reflection of the full utilization of unallocated amounts for CAR1; b. disbursement estimates to reflect the proposed change in disbursements arrangements for Cameroon; c. legal covenants to reflect the proposed change in disbursement arrangements, and consequent changes in disbursements letters, thus legal agreements, for Cameroon. 1That is because the Project’s components costs have not been properly updated in Operations Portal after the second Restructuring in December 2016. In particular, all the Unallocated budget items included in the several credits of the Project had been drawn to down to zero, which was not reflected for the IDA-51460 and IDA-H5220 financings in CAR.
