The Recipient and the Bank hereby agree as follows: Article I Standard Conditions; Definitions 1.01. The Standard Conditions (as defined in the Appendix to this Agreement) apply to and form part of this Agreement. 1.02. Unless the context requires otherwise, the capitalized terms used in this Agreement have the meanings ascribed to them in the Standard Conditions or in the Appendix this Agreement. Article II The Project 2.01. The Recipient declares its commitment to the objective of the project described in Schedule 1 to this Agreement ("Project"). To this end, the Recipient shall carry out the Project in accordance with the provisions of Article II of the Standard Conditions and Schedule 2 to this Agreement. Article III The Grant 3.01. The Bank agrees to extend to the Recipient a grant in an amount not to exceed one million two hundred thousand United States Dollars ($1,200,000) ("Grant") to assist in financing the Project. 3.02. The Recipient may withdraw the proceeds of the Grant in accordance with Section III of Schedule 2 to this Agreement. 3.03. The Grant is funded out of the abovementioned trust fund for which the Bank receives periodic contributions from the donors to the trust fund. In accordance with Section 3.02 of the Standard Conditions, the Bank's payment obligations in connection with this Agreement are limited to the amount of funds made available to it by the donors under the abovementioned trust fund, and the Recipient's right to withdraw the Grant proceeds is subject to the availability of such funds. -2- Article IV Effectiveness; Termination 4.01. This Agreement shall not become effective until evidence satisfactory to the Bank has been furnished to the Bank that the conditions specified below have been satisfied: (a) the execution and delivery of this Agreement on behalf of the Recipient has been duly authorized or ratified by all necessary governmental action; and (b) the financing agreement dated the same date as this Agreement, between the Recipient and IDA, providing a grant and credit in support of the Project ("Financing Agreement"), has been executed and delivered and all conditions precedent to its effectiveness or to the right of the Recipient to make withdrawals under it (other than the effectiveness of this Agreement) have been fulfilled. 4.02. Except as the Recipient and the Bank shall otherwise agree, this Agreement shall enter into effect on the date upon which the Bank dispatches to the Recipient notice of its acceptance of the evidence required pursuant to Section 4.01 ("Effective Date"). If, before the Effective Date, any event has occurred which would have entitled the Bank to suspend the right of the Recipient to make withdrawals from the Grant Account if this Agreement had been effective, the Bank may postpone the dispatch of the notice referred to in this Section until such event (or events) has (or have) ceased to exist. 4.03. Termination for Failure to Become Effective. This Agreement and all obligations of the parties under it shall terminate if it has not entered into effect by the date one hundred and twenty (120) days after the date of this Agreement, unless the Bank, after consideration ofthe reasons for the delay, establishes a later date for the purpose of this Section. The Project constitutes a phase of the MPA Program and consists of the following parts under the Original Project modified as underlined below: Part 1: Emergency COVID-19 Response Providing immediate support to prevent COVID-19 from spreading or limiting local transmission through containment strategies, including the following: 1.1. Enhancing early case detection, laboratory confirmation, contact tracing, recording and reporting through inter alia: (a) strengthening disease surveillance systems and public health laboratories for early detection and confirmation of cases; (b) combining detection of new cases with active contact tracing; (c) supporting epidemiological investigation; (d) strengthening risk assessment; (e) providing on- time data and information for guiding decision-making, response and mitigation activities; (f) strengthening the health management information systems to facilitate recording and on-time virtual sharing of information, including hardware and software needs at operational, regional, and central levels; and (g) supporting vaccine surveillance and expanding testing through acquisition and distribution of lab testing equipment and supplies, and testing and case management, all for the benefit of selected health facilities and laboratories. 1.2. Strengthening the public health system through: 1.2.1 assisting the health care system for preparedness planning to provide optimal medical care, maintain essential health care services and minimize risks for patients and health personnel by providing, inter alia: (a) support for basic handwashing and sanitation facilities; (b) support for medical waste management and disposal systems in permanent and temporary healthcare facilities as needed; (c) equipment for COVID-19 sites, medical supplies and diagnosing reagents including kits; (d) specific equipment for intensive care facilities; (e) new ambulances and medical equipment for public health facilities and hospitals; (f) appropriate protective equipment and goods for health personnel involved in patient case management; (g) Training for health facilities' staff; (h) financing to recruit technical experts; (i) financing of reasonable Hazard Pay to eligible health care workers, in accordance with terms and conditions set forth in the PIM; (j) supplies for handwashing facilities and handwashing agents; and (k) basic sanitation facilities in selected critical areas; and -6- 1.2.2. strengthening immunization systems and service delivery capacity to ensure effective delivery of Project Covid-19 Vaccines, through: (a) supporting: (i) building improvements to transform selected health facilities into new vaccination centers; and (ii) development of mobile vaccine delivery units and acquisition and distribution of mobile outreach equipment to selected health workers: (b) strengthening human resources through the financing of activities related to: (i) identification and Training of health facilities staff and frontline ancillary staff across the Recipient's territory on vaccine preparedness: and (ii) creation of a human resources health information system; and (c) strengthening regulatory systems capacity, including inter alia: (i) strengthening and adapting the pharmacovigilance system to detect adverse effects following Proiect Covid-19 vaccination; and (ii) carrying out traceability activities to track and trace Project Covid- 19 Vaccines. 1.3. Providing social and financial support to households through, inter alia: (a) support for psychosocial support and other mental health interventions provided to: (i) isolated and elderly population, (ii) infected patients and population, (iii) population suffering from family members losses due to COVID-19, and (iv) frontline workers; and (b) provision of food to isolated, quarantined and under treatment population. 1.4 Supporting the Recipient in Project Covid-19 Vaccine acquisition, planning and distribution, through: (a) providing technical assistance to establish institutional frameworks for the safe and effective deployment of Project Covid-19 Vaccines: (b) strengthening planning and management of vaccination plan, including: (i) implementation of the national deployment and vaccination plan and associated budget; (ii) development of legal and regulatory instruments relating to importation of Project Covid-19 Vaccines: (iii) provision of Training for selected health workers on vaccine roll-out: and (iv) support the implementation of contingency measures included in the NDVP to face climate change and natural disasters (c) financing the acquisition and distribution of: (i) Project Covid-19 Vaccines and associated consumables; (ii) ancillary supply kits (including needles, syringes, alcohol prep pads, vaccination record cards for each Proiect Covid-19 Vaccine recipient, and personal protective equipment for vaccinators); (iii) low-carbon/climate friendly cold chain equipment necessary for storage, transportation and distribution of Project Covid-19 vaccines (e.g., . solar powered and/or climate friendly -7- refrigerators/freezers) along with Training activities on said equipment; (iv) equipment for remote temperature monitoring; and (v) low-carbon and energy efficient incinerators and waste management equipment; and (d) carrying out climate-smart civil works, including small rehabilitation of health facilities and cold rooms. Part 2: Communication Campaign, Community Engagement, and Behavior Change 2.1. Supporting communication campaign activities through, inter alia. (a) developing and testing key messages and materials for COVID-19; (b) enhancing infrastructure to disseminate information at the national, state and local levels as well as between the public and private sectors; (c) supporting cost-effective and sustainable methods including marketing of handwashing and social distancing through different communication channels; (d) increasing the attention and commitment of the government, private sector and civil society to raise awareness, knowledge and understanding among the general population on the risk and potential impact of the pandemic; (e) developing multi-sectoral strategies to address the pandemic; and (f) developing and distributing basic communication materials including, inter alia: (i) materials on COVID-19; (ii) general preventative measures for the general public; (iii) information and guidelines for health care providers; (iv) Training modules; (v) presentations, slide sets, videos and documentaries; and (vi) symposia on surveillance, treatment and prophylaxis. 2.2. Developing community engagement throughout the response, by: (a) developing systems for community-based disease surveillance and multi-stakeholder engagement, focusing on inclusion and healthcare workers safety; and (b) strengthening community and citizen trust during crises. 2.3. Supporting the implementation of social distancing and behavioral change measures through, inter alia: (a) developing guidelines related to social distancing measures; (b) operationalizing existing or new laws and regulations on social distancing measures (excluding police or military activities); (c) supporting coordination among sectoral ministries and agencies; and (d) supporting preventative actions complementary to social distancing (including the promotion of personal hygiene, the promotion of handwashing, the distribution and use of masks) and the promotion of community participation in slowing the spread of the pandemic. 2.4 Implementing national risks communication and advocacy campaigns related to Project Covid-19 Vaccines: and reviewing existing research to develop a community engagement plan to increase awareness of Covid-19 prevention, Project Covid-19 Vaccines and associated public health services, and climate- related diseases. -8- Part 3: Implementation Management and Monitoring and Evaluation Carrying out project management activities including: (a) providing equipment and logistical support for the coordination and management of the Project, including central and regional arrangements for the coordination of Project activities, financial management and procurement; (b) recruiting additional staff and consultants dedicated to the Project Implementation Unit and responsible for overall administration and fiduciary management of the Project; (c) financing of project coordination activities and the monitoring and evaluation system; (d) providing Training in participatory monitoring and evaluation at all administrative levels, including: (i) the carrying out of evaluation workshops; (ii) the development of an action plan for monitoring and evaluation; and (iii) the replication of successful models; (e) supporting the development of the Recipient's public health data and monitoring infrastructure, including inter alia: (i) models for innovative tracking schemes, digitized health records, electronic immunization records, individual and community coverage mapping methods: and (ii) supply chain digitization, improved data collection, analysis, reporting and use of data to monitor Proiect Covid- 19 vaccines: and (f) preparing the Vaccine Delivery and Distribution Manual. -9- SCHEDULE 2 Project Execution Section I. Institutional and Other Arrangements A. Institutional Arrangements 1. Ministry of Public Health The Recipient, through its MOPH, shall vest the overall responsibility for the implementation of the Project, with the involvement of other relevant ministries as may be required to ensure optimal aid harmonization and alignment of Project resources. To that end, the MOPH shall be responsible for meeting Project objectives and providing oversight of Project activities. 2. Multisectoral Committee The Recipient shall maintain the Multisectoral Committee, presided by the Recipient's Prime Minister and with the MOPH as its permanent secretariat, responsible for providing strategic leadership throughout Project implementation and for monitoring the implementation of the Recipient's Preparedness and Response Plan to COVID-19. 3. National Coordination COVID-19 Committee and REDISSE Steering Committee The Recipient shall, for purposes of Project implementation, maintain: (a) throughout the period of COVID-19 (as determined by the Recipient in the Preparedness and Response Plan), the National Coordination COVID-19 Committee; and (b) the REDISSE Steering Committee, established under the Regional Disease Surveillance Systems Enhancement III Project ("REDISSE III Project") ("Comiti de Pilotage REDISSE"); to provide Project implementation strategic guidance, and approve the Annual Work Plans and Budgets, with terms of reference, composition and powers described in the Project Implementation Manual. 4. Project Implementation Unit (a) The Recipient shall, through the MOPH, maintain, throughout Project implementation, the Project Implementation Unit within the "Fonds Commun pour la Sant" ("FCS-PIU") responsible for the day-to-day implementation, coordination, management, preparation of Annual Work Plans and Budgets and Project Reports, and monitoring and evaluation of the Project, with competent staff in adequate numbers and with terms of reference, qualifications, experience and integrity satisfactory to the Bank, -10- including amongst others a focal point, an accountant, and procurement specialist. (b) To that end, the MOPH shall entrust the FCS-PIU with the financial management and procurement functions under the Project, and the transfer of Financing funds and monitoring of the use of Financing proceeds by other implementing ministries and/or partners. B. Project Manuals Project Implementation Manual 1 . No later than thirty (30) days after the Effective Date, the Recipient, through the MOPH, shall: (a) update and adopt the project implementation manual for the Original Project (as so updated, "Project Implementation Manual" or "PIM") in a manner and on terms acceptable to the Bank, containing, specificities of the Project such as, inter alia, detailed arrangements and procedures for: (i) implementation arrangements; (ii) administrative aspects; (iii) procurement; (iv) terms and conditions, criteria and procedures to be applied for the provision of Hazard Pay; (v) implementation of Environmental and Social Standards; (vi) financial management and accounting; (vii) monitoring and evaluation; (viii) personal data collection and processing in accordance with applicable national law and good international practice; (ix) development and approval of the Annual Work Plans and Budgets; and (x) such other technical, administrative, fiduciary or coordination arrangements as may be necessary to ensure effective Project implementation; (b) thereafter, implement the Project in accordance with the updated PIM; (c) not assign, amend, abrogate or waive the PIM or any of its provisions without the Bank's prior written consent; and (d) ensure that, in case of any conflict between the provisions of the PIM and the provisions of this Agreement, the provisions of this Agreement shall prevail. Vaccine Delivery and Distribution Manual 2. Without limitation on Section I.B.1 above, in order to ensure adequate implementation of Part 1.4 of the Project, the Recipient shall, by no later than thirty (30) days after the Effective Date, prepare and adopt, a manual for the Project COVID- 19 Vaccine delivery and distribution ("Vaccine Delivery and Distribution Manual"), in form and substance satisfactory to the Bank, which shall include: -11- (a) rules and procedures for prioritizing intra-country vaccine allocation following principles established in the WHO Fair Allocation Framework, including an action plan setting out the timeline and steps for implementing such rules; (b) rules and procedures establishing minimum standards for vaccine management and monitoring, including medical and technical criteria, communications and outreach plan, cold chain infrastructure, and other related logistics infrastructure, as well as third-party monitoring arrangements; (c) rules and procedures for processing and collecting Personal Data in accordance with national law on Personal Data protection and good international practice; (d) vaccine distribution plan, including action plan setting out timeline and steps for immunization; and (e) criteria for the procurement (whether via advance purchase mechanisms, direct procurement or through the COVAX facility), importation, storage and deployment of Project COVID-19 Vaccines, including increased/equitable access to Project COVID-19 Vaccines. 3. The Recipient shall carry out the Project in accordance with this Agreement, the PIM, and the Vaccine Delivery and Distribution Manual. 4. Except as the Bank shall otherwise agree, the Recipient shall not assign, amend, abrogate, or waive the provisions of the PIM or the Vaccine Delivery and Distribution Manual without prior written approval of the Bank. 5. In the event of any conflict between the provisions of the PIM or Vaccine Delivery and Distribution Manual and this Agreement, the provisions of this Agreement shall prevail. C. Standards for COVID-19 Vaccine Approval All Project COVID-19 Vaccine acquired under Part 1.4 of the Project shall satisfy the Vaccine Approval Criteria. D. Annual Work Plans and Budgets. 1. The Recipient shall: (a) not later than November 30 in each calendar year during Project implementation, prepare and furnish to the Bank for its approval, a program of Project activities proposed for implementation in the following -12- calendar year, including: (i) a detailed timetable for the sequencing and implementation of said activities; and (ii) the types of expenditures required for such activities, a proposed financing plan and a budget ("Annual Work Plan and Budget" or "AWPB"); (b) afford the Bank a reasonable opportunity to exchange views with the Recipient on such proposed AWPB and thereafter adopt, through the National Coordination COVID-19 Committee (or the REDISSE Steering Committee, as the case may be), the final version of the AWPB in the form approved by the Bank; and (c) ensure that the Project is carried out in accordance with the AWPB, and only those activities which are included in the AWPB shall be implemented (provided, however, that in the event of any conflict between the AWPB and the provisions of this Agreement, the provisions of this Agreement shall prevail). 2. The Recipient shall carry out Training on the basis of AWPBs, which shall identify: (a) particulars of the training envisaged; (b) the personnel to be trained; (c) the selection methods and criteria of the institution or individuals conducting such training; (d) the institution conducting such training if identified; (e) the purpose and justification for such training; (f) the location and duration of the proposed training; and (g) the estimate of the cost of such training. 3. Except with the prior and written concurrence of the Bank, the AWPBs shall not be waived, amended or otherwise modified to include new activities. E. Environmental and Social Standards 1 . The Recipient shall ensure that the Project is carried out in accordance with the Environmental and Social Standards, in a manner acceptable to the Bank. 2. Without limitation upon paragraph I above, the Recipient shall ensure that the Project is implemented in accordance with the Environmental and Social Commitment Plan ("ESCP"), in a manner acceptable to the Bank. To this end, the Recipient shall ensure that: (a) the measures and actions specified in the ESCP are implemented with due diligence and efficiency, and provided in the ESCP; (b) sufficient funds are available to cover the costs of implementing the ESCP; (c) policies and procedures are maintained, and qualified and experienced staff in adequate numbers are retained to implement the ESCP, as provided in the ESCP; and -13- (d) the ESCP, or any provision thereof, is not amended, repealed, suspended or waived, except as the Bank shall otherwise agree in writing, as specified in the ESCP, and ensure that the revised ESCP is disclosed promptly thereafter. 3. In case of any inconsistencies between the ESCP and the provisions of this Agreement, the provisions of this Agreement shall prevail. 4. The Recipient shall ensure that: (a) all measures necessary are taken to collect, compile, and furnish to the Bank through regular reports, with the frequency specified in the ESCP, and promptly in a separate report or reports, if so requested by the Bank, information on the status of compliance with the ESCP and the environmental and social instruments referred to therein, all such reports in form and substance acceptable to the Bank, setting out, inter alia: (i) the status of implementation of the ESCP; (ii) conditions, if any, which interfere or threaten to interfere with the implementation of the ESCP; and (iii) corrective and preventive measures taken or required to be taken to address such conditions; and (b) the Bank is promptly notified of any incident or accident related to or having an impact on the Project which has, or is likely to have, a significant adverse effect on the environment, the affected communities, the public or workers, in accordance with the ESCP, the environmental and social instruments referenced therein and the Environmental and Social Standards. 5. The Recipient shall establish, publicize, maintain and operate an accessible grievance mechanism, to receive and facilitate resolution of concerns and grievances of Project-affected people, and take all measures necessary and appropriate to resolve, or facilitate the resolution of, such concerns and grievances, in a manner acceptable to the Bank. 6. The Recipient shall ensure that all bidding documents and contracts for civil works under the Project include the obligation of contractors to: (a) comply with the relevant aspects of ESCP and the environmental and social instruments referred to therein; and (b) adopt and enforce codes of conduct that should be provided to and signed by all workers, detailing measures to address environmental, social, health and safety risks, and the risks of sexual exploitation and abuse, sexual harassment and violence against children, all as applicable to such civil works commissioned or carried out pursuant to said contracts. -14- Section II. Project Monitoring, Reporting and Evaluation A. Project Reports The Recipient shall ensure that each Project Report is furnished to the Bank not later than forty-five (45) days after the end of each calendar semester, covering the calendar semester. Section III. Withdrawal of Grant Proceeds A. General 1. The Recipient may withdraw the proceeds of the Grant in accordance with the provisions of: (a) Article III of the Standard Conditions; and (b) this Section; to finance Eligible Expenditures inclusive of Taxes and, in the amount allocated, if applicable, up to the percentage set forth against each Category of the following table: Category Amount of the Percentage of Expenditures to be Grant Allocated Financed (expressed in USD) (inclusive of Taxes) (1) Goods, and 1,200,000 100% Training under Part 1.4(c)(iii) of the Project TOTAL AMOUNT 1,200,000 B. Withdrawal Conditions; Withdrawal Period 1. Notwithstanding the provisions of Part A of this Section no withdrawal shall be made for payments made prior to the Signature Date. 2. Payments under Category 1 will be financed 100% out of the Grant, and once the Grant is fully disbursed, they will be financed out of resources available under the Financing Agreement. 3. The Closing Date is April 30, 2022. -15- APPENDIX Definitions 1. "Annual Work Plan and Budget" or "AWPB" means each annual work plan, together with the related budget, to be prepared by the Recipient for the Project approved by the Bank pursuant to the provisions of Section I.D of Schedule 2 to this Agreement. 2. "Anti-Corruption Guidelines" means, for purposes of paragraph 2 of the Appendix to the Standard Conditions, the "Guidelines on Preventing and Combating Fraud and Corruption in Projects Financed by IBRD Loans and IDA Credits and Grants", dated October 15, 2006, and revised in January, 2011, and as of July 1, 2016. 3. "Category" means a category set forth in the table in Section III.A of Schedule 2 to this Agreement. 4. "COVAX Facility" means the COVID-19 Vaccine Global Access Facility, a mechanism through which demand and resources are pooled to support the availability of, and equitable access to, COVID-19 vaccines for all economies, and which is coordinated by Gavi, the Vaccine Alliance, the Coalition for Epidemic Preparedness Innovations (CEPI), and the WHO. 5. "COVID-19" means the coronavirus disease caused by the 2019 novel coronavirus (SARS-CoV-2). 6. "Environmental and Social Commitment Plan" or "ESCP" means the environmental and social commitment plan for the Project, dated June 4, 2021, as the same may be amended from time to time in accordance with the provisions thereof, which sets out the material measures and actions that the Recipient shall carry out or cause to be carried out to address the potential environmental and social risks and impacts of the Project, including the timefi-ames of the actions and measures, institutional, staffing, training, monitoring and reporting arrangements, and any environmental and social instruments to be prepared thereunder. 7. "Environmental and Social Standards" or "ESSs" means, collectively: (i) "Environmental and Social Standard 1: Assessment and Management of Environmental and Social Risks and Impacts"; (ii) "Environmental and Social Standard 2: Labor and Working Conditions"; (iii) "Environmental and Social Standard 3: Resource Efficiency and Pollution Prevention and Management"; (iv) "Environmental and Social Standard 4: Community Health and Safety"; (v) "Environmental and Social Standard 5: Land Acquisition, Restrictions on Land Use and Involuntary Resettlement"; (vi) "Environmental and Social Standard 6: Biodiversity Conservation and Sustainable Management of Living Natural Resources"; (vii) "Environmental and Social Standard 7: Indigenous Peoples/Sub- -16- Saharan Historically Underserved Traditional Local Communities"; (viii) "Environmental and Social Standard 8: Cultural Heritage"; (ix) "Environmental and Social Standard 9: Financial Intermediaries"; and (x) "Environmental and Social Standard 10: Stakeholder Engagement and Information Disclosure"; effective on October 1, 2018, as published by the Bank. 8. "FCS-PIU" means the Project Implementing Unit within the MOPH referred to in Section I.A.4 of Schedule 2 to this Agreement. 9. "Fonds commun pour la santi" or "FCS" each means the common fund administered by the MOPH which pools the funds provided by external donors for the financing of the Recipient's projects in the health sector, and which has been established and operates in accordance with the provisions of the Decision (Arrdtd) No. 000354 MSP/SG dated March 28, 2018, "Establishing, assigning responsibilities, organizing and operating the Health Pooled Fund for the implementation of the Sanitary Development Plan (Plan du Diveloppement Sanitaire)". 10. "Hazard Pay" means the payments made to eligible community workers/health care workers involved in the response to COVID-19, in accordance with terms and conditions (including inter alia, eligibility criteria, payment terms and methods, maximum amount per person and per pay period) set forth in the Project Implementation Manual. 11. "REDISSE Steering Committee" or "Comitg de Pilotage REDISSE" means the Recipient's steering committee established and operating under the Recipient's Order (Arrdt) No. 000395 dated April 6, 2018, referred to in Section I.A.3(b) of Schedule 2 to this Agreement, and further described in the Project Implementation Manual; 12. "Ministry of Public Health" and "MOPH" each means the Recipient's ministry responsible for health, or any successor thereto. 13. "MPA Program" means the multiphase programmatic approach program designed to assist countries to prevent, detect and respond to the threat posed by COVID-19 and strengthen national systems for public health preparedness. 14. "Multisectoral Committee" means the Recipient's committee established for providing political and strategic guidance and proposing measures to the Recipient's Council of Ministers on March 13, 2020 and referred to in Section I.A.2 of Schedule 2 to this Agreement. 15. "National Coordination COVID-19 Committee" means the Recipient's committee established for the preparedness and response to COVID-19 referred to in Section -17- I.A.3 of Schedule 2 to this Agreement, and further described in the Project Implementation Manual. 16. "National Covid-19 Deployment and Vaccination Plan" or "NDVP" each means the Recipient's immunization plan for COVID-19, dated January 28, 2021, and acceptable to the Bank, as said document may be modified from time to time, and such term includes all schedules and annexes to said document. 17. "Operating Costs" means the reasonable incremental expenses incurred by the Recipient on account of Project implementation, including costs related to audits, office equipment and supplies, vehicle operation and maintenance, shipping costs, office rentals, communication and insurance costs, office administration costs, bank charges, utilities, transport costs, travel, per diem and supervision costs, and salaries of contracted employees, including reasonable Hazard Pay, but excluding salaries of officials of the Recipient's civil service. 18. "Original Financing Agreement" means the financing agreement between the Recipient and IDA, dated May 8, 2020 (Credit No. 6620-NE and Grant No. D618- NE) for the Niger COVID-19 Emergency Response Project, as amended to date. 19. "Original Project" means the project activities described in Schedule I to the Original Financing Agreement. 20. "Personal Data" means any information relating to an identified or identifiable individual. An identifiable individual is one who can be identified by reasonable means, directly or indirectly, by reference to an attribute or combination of attributes within the data, or combination of the data with other available information. Attributes that can be used to identify an identifiable individual include, but are not limited to, name, identification number, location data, online identifier, metadata and factors specific to the physical, physiological, genetic, mental, economic, cultural or social identity of an individual. 21. "Preparedness and Response Plan" means the Recipient's emergency preparedness and response plan for COVID-19, dated March 25, 2020, and acceptable to the Bank, as said document may be modified from time-to-time during the emergency, and such term includes all schedules and annexes to said document. 22. "Procurement Regulations" means, for purposes of paragraph 20 of the Appendix to the Standard Conditions, the "World Bank Procurement Regulations for IPF Borrowers", dated November 2020. 23. "Project COVID-19 Vaccine" means a vaccine for the prevention of COVID-19, authorized by the Recipient's national regulatory authority for distribution, marketing and administration within the territory of the Recipient, and purchased -18- or deployed under the Project; "Project COVID-19 Vaccines" means the plural thereof. 24. "Project Implementation Manual" or "PIM" means the implementation for the Project referred to in Section I.B.1 of Schedule 2 to this Agreement. 25. "Project Implementation Unit" means the FCS-PIU, the implementation unit created and established by the Recipient in 2015 under the Sahel Malaria and Neglected Tropical Diseases Project (as hereinafter defined) within Fonds Commun pour la Santg under the direct supervision and authority of the MOPH and referred to in Section I.A.4 of Schedule 2 to this Agreement. 26. "Regional Disease Surveillance Systems Enhancement III Project" or "REDISSE III Project" means the project financed by IDA under the Financing Agreement (Grant No. D315-NE and Credit No. 6236-NE) between the Recipient and the Bank dated June 28, 2018. 27. "Sahel Malaria and Neglected Tropical Diseases Project" means the project financed by IDA under the Financing Agreement (Credit No. 5669-NE) between the Recipient and the Bank dated July 27, 2015. 28. "Signature Date" means the later of the two dates on which the Recipient and the Bank signed this Agreement and such definition applies to all references to "the date of the Grant Agreement" in the Standard Conditions. 29. "Standard Conditions" means the "International Bank for Reconstruction and Development and International Development Association Standard Conditions for Grant Financing Made by the Bank out of Trust Funds", dated February 25, 2019. 30. "Stringent Regulatory Authority" means a National Regulatory Authority ("NRA") that is classified by WHO as a Stringent Regulatory Authority. 31. "Training" means the reasonable costs incurred by FCS-PIU associated with training under the Project, based on the relevant Annual Work Plan and Budget, and attributable to study tours, training courses, seminars, workshops and other training activities, not included under service providers' contracts, including costs of purchase and publication of training materials, facilities and equipment rental, travel, accommodation and per diem costs of trainees and trainers, trainers' fees, and other training related miscellaneous costs. 32. "UNICEF" means United Nations Children's Fund. 33. "Vaccine Approval Criteria" means that the Project COVID-19 Vaccine: (a) has received regular or emergency licensure or authorization from at least one of the Stringent Regulatory Authorities identified by WHO for vaccines procured and/or supplied under the COVAX Facility, as may be amended from time to time by -19- WHO; (b) has received the WHO Prequalification or WHO Emergency Use Listing; or (c) has met such other criteria as may be agreed in writing between the Recipient and the Bank. 34. "Vaccine Delivery and Distribution Manual" means the Recipient's manual referred to in Section I.B.2 of Schedule 2 to this Agreement, as the same may be amended from time to time with the Bank's prior written approval. 35. "WHO" means the World Health Organization. 36. "WHO Emergency Use Listing" means a risk-based procedure for assessing and listing by WHO of unlicensed vaccines, therapeutics, and in vitro diagnostics with the aim of expediting the availability of these products to people affected by a declared public health emergency. 37. "WHO Fair Allocation Framework" means the rules which govern the allocation of vaccines to participants in the COVAX Facility, as developed by WHO, subject to periodic review by the COVAX Facility. 38. "WHO Prequalification" means a service provided by WHO to assess the quality, safety, and efficacy of medical products for priority diseases, and which are intended for United Nations and international procurement to developing countries.
