Dear Mr. Ritonga:
           Re: Grant Number TF -- 050430-IND (Japanese Grant for the Preparation of
      the Improving Decentralized Management of Health Work Force and Services Project
                            Amendments to the Grant Agreement

        We refer to the Grant Agreement (Japanese Grant for the Preparation of the Improving
Decentralized Management of Health Work Force and Services Project) between the Republic of
Indonesia (the Borrower) and the International Bank for Reconstruction and Development (the Bank)
dated January 14, 2002. We also refer to your Ministry's letters dated July 15, 2002 requesting
amendments to the Grant Agreement.

      The Bank is pleased to inform you that, after due consideration, it has agreed to the requests for
amendment to the Grant Agreement.

1.      Annex, Section 1.1 of the Grant Agreement is amended to read:

        "Section 1.1. The purpose of the Grant is to assist the Recipient in the preparation of the
Improving Decentralized Management of Health Work Force and Services Project, which has as main
objective to improve the management of human resources in health care in the context of decentralized
health care policy making and management in the Recipient's provinces of West Sumatera, Jambi, West
Kalimantan and East Kalimantan."


2.     Attachment H, Section 1 (c) of the Grant Agreement is amended to read:

         "Section 1 (c) the term "Authorized Allocation" means an amount equivalent to US$ 104,500 to
be withdrawn from the Grant Account and deposited into the Special Account pursuant to paragraph 3 (a) of
this Attachment."

        Except as specifically amended hereby, all other provisions of the Grant Agreement remain in
full force and effect. The above amendment shall enter into effect on the date of the Borrower's
countersignature of the letter.

          Please confirm your agreement to the foregoing by signing and dating the enclosed duplicate of
this letter in the space provided, and by returning it to us.
