Amendment No. 6 to the Administration Arrangement and Amendment No. 3 to the Supplemental
 Arrangement between the Government of Australia, acting through the Department of Foreign
 Affairs and Trade and the International Bank for Reconstruction and Development regarding
       the Partnership for Knowledge-based Poverty Reduction Multi-Donor Trust Fund
         (Trust Fund No. TF071514 and Trust Fund No. TF072841 parallel to original
                        Trust Fund No. TF071514) (DFAT No. 56043)


1.    Reference is made to the Administration Arrangement between the Government of Australia,
      acting through the Department of Foreign Affairs and Trade (the “Donor”) and the
      International Bank for Reconstruction and Development (the “Bank” and together with the
      Donor, the “Participants” and each a “Participant”), regarding the Partnership for Knowledge-
      based Poverty Reduction Multi-Donor Trust (TF071514) ( “Original Account”) effective as of
      June 15, 2010, as amended on November 14, 2012, July 4, 2013, April 26, 2016, May 24, 2017
      and March 29, 2019 (the “Administration Arrangement”).

2.    Reference is also made to the Supplemental Arrangement between the Donor and the Bank,
      regarding the Partnership for Knowledge-based Poverty Reduction Multi-Donor Trust (Parallel
      Trust Fund No. TF072841) (the “Parallel Account”) effective as of May 24, 2017, as amended
      on January 10, 2018 and March 29, 2019 (collectively the “Supplemental Arrangement”, and
      such amendment dated March 29, 2019, “Amendment No. 2”).

3.    The Participants mutually decide to amend the Administration Arrangement as follows:

      Paragraph 9.1 of Annex 2 will be deleted and replaced with the following:

      “9.1 It is expected that the Contributions will be fully disbursed by the Bank by March 31,
      2021. The Bank shall only disburse Contributions for the purposes of this Agreement after such
      date with the written approval of the Donors.”

4.    In accordance with the terms of paragraphs 6 and 7 of the Supplemental Arrangement, the
      amendment in paragraph 3 above will also apply to the funds in the Parallel Account.

5.    The Participants also mutually decide to amend Amendment No. 2 to the Supplemental
      Arrangement as follows:

      (A) Paragraph 2 of Amendment No. 2 will be deleted and replaced with the following:

      “The Bank acknowledges that the Donor has decided, subject to Legislative appropriations, to
      provide in the sum of two million six hundred thousand Australian Dollars (AUD 2,600,000)
      (the “Contribution”) for the Trust Fund in accordance with the terms of the Supplemental
      Arrangement.”

      (B) Paragraph 3 of Amendment No. 2 will be deleted and replaced with the following:

      “The Donor will deposit the Contribution in accordance with the following schedule and in the
      currency specified in paragraph 2 above into such bank account designated by the Bank (each
      amount deposited referred to as an “Installment”) upon submission of a payment request by
      the Bank.

       -    By December 15, 2019                                               AUD 1,000,000”

6.     All other terms of the Administration Arrangement and the Supplemental Arrangement will
       remain the same.

7.     The Bank will disclose this Amendment in accordance with the Bank’s Policy on Access to
       Information. By entering into this Amendment, the Donor consents to such disclosure.

8.     Each of the Participants represents, by confirming its acceptance below, that it is authorized to
       enter into this Amendment and act in accordance with its provisions. The Bank and the Donor
       are each requested to sign and date this Amendment, and upon possession by the Bank of this
       fully signed Amendment, this Amendment will come into effect as of the date of the last
       signature.
