Amendment No. I to the Administration Arrangement between the Government of Canada, as
represented by the Minister for International Development acting through the Department of
Foreign Affairs, Trade and Development (DFATD), the International Finance Corporation
and the International Bank for Reconstruction and Development and the International
Development Association relating to the Trust Fund for Strengthening the Investment Climate
in Latin America and the Caribbean (LAC) (IBRD/IDA Ref: TFO71884; IFC Ref.:
TFO 71867; DFATD Ref.: PO# 7058572)
1.    Reference is made to the Administration Arrangement between the Government of
Canada as represented by the Minister for International Cooperation acting through the Canadian
International Development Agency (the "Donor" or "CIDA"), and the International Finance
Corporation ("IFC"), and the International Bank for Reconstruction and Development ("IBRD"),
and the International Development Association ("IDA", and together with IBRD, the "Bank")
(collectively, the "Signatories"), relating to the Trust Fund for Strengthening the Investment
Climate in Latin America and the Caribbean (LAC) (TFO71884) (the "Trust Fund") effective as
of July 23, 2012 (the "Administration Arrangement").
2.    Reference is made to the letters to IFC and the Bank from the Donor's Department of
Foreign Affairs, Trade and Development dated January 31, 2014 notifying that the Donor's
Canadian International Development Agency (CIDA) and the Donor's Department of Foreign
Affairs and Trade ("DFAIT") had been amalgamated, with effectiveness on June 26, 2013, into
the "Department of Foreign Affairs, Trade and Development" or "DFATD.
3.    In light of the foregoing and recent discussions between the Signatories, the
Administration Arrangement is amended as follows:
a.    Every reference to the terms "Canadian International Development Agency" or
"CIDA" is replaced throughout the Administration Arrangement by the terms
"Department of Foreign Affairs, Trade and Development" or "DFATD",
respectively.
b.    Every reference to the term "Minister for International Cooperation" is replaced
throughout the Administration Arrangement by the term "Minister for
International Development".
c.    Section B of Annex B is amended and replaced to read as follows:
"B. CATEGORIES OF EXPENDITURE
The Contributions may be used to finance (a) Associated Overheads; (b)
Consultant Fees (individuals, including indirect costs, and firms); (c) Contractual
Services; (d) Field Assignment Benefits; (e) Media, Workshop, Conference and
Meeting Costs; (f) Staff Costs (with and without indirect cost); (g) Temporary


Support Staff Costs (including indirect costs); (h) Travel Expenses; and (i)
Extended Term Consultants Costs (including indirect costs)."
4.     Except as amended as set out in paragraph 3 above, all other provisions of the
Administration Arrangement remain the same.
5.    The Bank will disclose this Amendment in accordance with the Bank's Policy on Access
to Information. By entering into this Amendment, the Donor consents to such disclosure.
6.     Each of the Signatories represents, by confirming its agreement below, that it is
authorized to enter into this Amendment and act in accordance with these terms and conditions.
The Signatories are requested to sign and date this Amendment, and upon possession by the
Bank of this fully signed Amendment, this Amendment will become effective as of the date of
the last signature.
