Amendment No.2 to the Fourth Supplementary Agreement to the Donor Participation Agreement
        (“Second Amendment”) between the Government of Germany, acting through its Federal
          Ministry for Economic Cooperation and Development, and the International Bank for
     Reconstruction and Development, acting as trustee for the Readiness Fund of the Forest Carbon
      Partnership Facility, regarding the Readiness Fund of the Forest Carbon Partnership Facility
                            Multi-Donor Trust Fund (Trust Fund No. 072937)



1.      Reference is made to the Amendment to the Fourth Supplementary Agreement between the
Government of Germany (“Donor Participant”), acting through its Federal Ministry for Economic
Cooperation and Development, and the International Bank for Reconstruction and Development (“Bank”),
acting as trustee for the Readiness Fund of the Forest Carbon Partnership Facility (“Trustee” and together
with the Donor Participant, the “Parties” and each a “Party”) regarding the Readiness Fund of the Forest
Carbon Partnership Facility Multi-Donor Trust Fund (Trust Fund No. 072937) (“Trust Fund”) dated
December 18, 2019 (“First Amendment to the Fourth Supplementary Agreement”).

2.       Reference is also made to the Donor Participant’s communication dated August 12, 2020,
informing the Bank of its desire to cancel the contribution of EUR 20,000,000 to the Trust Fund that was
made under the First Amendment to the Fourth Supplementary Agreement. Given that the Trust Fund will
be closed on December 31, 2022, the Donor Participant also expressed its intent to recommit the EUR
20,000,000 as contribution to the newly established Enhancing Access to Benefits while Lowering
Emissions (EnABLE) Multi-Donor Trust Fund (Trust Fund No. TF073562), to continue supporting the
social inclusion of indigenous peoples, local communities, and civil society organizations involved in
emission reductions programs, including those programs under the FCPF. The Parties will enter into a
separate Administration Agreement for the new EnABLE Multi-Donor Trust Fund.

3.     Therefore, the Parties herewith agree to cancel the Donor Participant’s contribution to the Trust
Fund in the amount of EUR 20,000,000 made under the First Amendment to the Fourth Supplementary
Agreement.

4.       All other terms of the Fourth Supplementary Agreement shall remain the same.

5.      Each of the Parties represents, by confirming its agreement below, that it is authorized to enter into
this Second Amendment and act in accordance with these terms and conditions. The Parties are requested
to sign and date this Second Amendment, and upon possession by the Bank of this fully signed Second
Amendment, this Second Amendment shall become effective as of the date of the last signature.
