First Amendment to 1he Reimbursable Advisory Services Ag!reement (Acuerdo de
Servicios de Asesorias Rcembolsables)
Dear Sir,
We refer to the Reimbursable Advisory Services Agreement between the Instituto Nacional de
Defensa de la Competencia y de I Protecci6n de la Propiedad Intelectual (Indecopi) (the "Client") and
the International Bank for Recon;truction and Development (the "Bank") dated October 1, 2014 (the
"RAS Agreement"). Please note that capitalized terms used in this letter (the "Amendment Letter") and
not defined herein have the meaning ascribed to them in the RAS Agreement.
We are pleased to inform you that the Bank hereby agrees to amend the RAS Agreement so as
to: (i) modify the deliverable timetable; and (ii) adjust the payment schedule accordingly.
Consequently, the RAS A,greement is hereby amended to read as follows:
1. Section B of the Schedule to the RAS Agreement is hereby amended to read in its entirety as follows:
"B.    Timetable. Exc-pt as the Client and the Bank may otherwise agree, the Bank shall
endeavor to perform the Reimbursable Advisory Services in accordance with the following
tentative timetable:

raids and leniency program.

2. Article 4(a) of the RAS Agreement is hereby amended to read in its entirety as follows:
Payment. (a) The Clier t shall pay the Bank a fixed fee of one hundred and twenty seven
thousand United States Dollars (US$ 127,000) in accordance with the following schedule of
payment:

2. $ 50,000      Del very of revised draft deliverables on leniency program.
3. $ 50,000      Delivery of final deliverables on dawn raids and leniency program.
This Amendment Letter shall be executed in two counterparts each of which shall be an
original. This Amendment Lettei has also been prepared in the Spanish language at the request of the
Client, however, only the English version of the Amendment Letter shall be legally binding.
Please confirm your agreement to the foregoing amendment by signing and dating the two
counterparts of this amendment l,tter. Upon receipt by the Bank of one fully executed original of this
amendment letter, this amendmeiit shall become effective as of the date of the countersignature.
