Amendment to the Grant Agreement
We refer to the Grant Agreement ("Agreement"), dated March 13, 2013, between the
Republic of Ghana ("Recipient") and the International Bank for Reconstruction and
Development and the International Development Association ("World Bank"), acting as
administrator of the Ghana Commercial Agriculture Project Trust Fund, for the above-mentioned
Project, as amended.
We are pleased to inform you that the Grant Agreement is amended as set forth below:
1.    Section 3.1 of Article III of the Agreement is amended to read as follows:
"3.01. The World Bank agrees to extend to the Recipient, on the terms and conditions set
forth or referred to in this Agreement, a grant from various sources in the following
amounts, which in aggregate do not exceed sixteen million nine hundred and fifty
thousand United States Dollars ($16,950,000) ("Grant") to assist in financing Parts
A, C and D of the Project:
(a) an amount not to exceed $5,982,263.27 (Portion A - the original trust fund
grant); and (b) an amount not to exceed $10,967,736.73 (Portion B - the parallel
trust fund grant).
2.    The table under Section IV.A.2 of Schedule 2 to the Agreement is amended to read
as follows:

All other provisions of the Agreement, except as herein amended, shall remain in full
force and effect.
Please indicate your agreement to the foregoing, on behalf of the Recipient, by
countersigning and dating the form of confirmation on the two original copies of this letter and
returning one original, as countersigned, to us. Upon receipt by the World Bank of the copy of this
letter countersigned by the Recipient, this amendment shall become effective as of the date of its
countersignature.
