West Africa Transport and Transit Facilitation Project (WA TTFP) (Cr. 4439-GH)
Re: Amendment to the Financing Agreement
We refer to the Financing Agreement dated July 11, 2011 (the Agreement) for the above-
referenced project, between the Republic of Ghana ("Recipient") and the International Development
Association ("Association"). We also refer to your letter dated November 21, 2012, requesting the
reallocation of proceeds of the Credit 4439-GH and for increase in the Financing percentages. We are
pleased to inform you that the Association accedes to your request and propose to amend the
Agreement as follows:
* The table set forth in paragraph A.2, Section IV of schedule 2 to the Agreement shall be deleted
in its entirety and replaced with the following table:

* All other provisions of the Agreement which are not expressly modified in accordance with this
Letter Amendment remain unchanged.
Please indicate agreement to the foregoing, on behalf of the Recipient, by countersigning and
dating two original copies of this letter and returning one original, as countersigned, to the Association.
Upon receipt by the Association of the copy of this letter countersigned and dated by the Recipient,
this amendment shall become effective as of the date of its countersignature.
