Amendment to Grant Agreement
Dear Sir/Madam:
We refer to the Grant Agreement ("Agreement") between the International Bank
for Reconstruction and Development ("World Bank"), acting as Implementing Agency
of the Global Environment Facility (GEF) and the Wildlife and Environmental Society
of Malawi ("Recipient"), dated May 10, 2012, for the above stated project ("Project").
We refer also to the recent discussions concerning some proposed changes to the
financial management arrangements for the Project.
In order to effect the proposed changes to the financial management
arrangements, the World Bank proposes to amend the Agreement as follows:
1     Section 4.01(c) of the Annex to the Agreement is deleted in its entirety and
replaced with the following:
"(c) The Recipient has contracted a financial management consultant acceptable to the
World Bank."
2      Section 2.03(f) of the Annex to the Agreement is deleted in its entirety.

Please confirm your agreeme it to the foregoing by countersigning, dating and
returning to us the enclosed copy of this amendment letter. This amendment letter
shall become effective as of the date of receipt by the World Bank of the
countersigned copy.
