We are pleased to inform you that, pursuant to your letter of request and our recent discussions on the subject at the beginning of November 2002, the Bank hereby agrees to amend the Loan Agreement so as to incorporate a retroactive financing provision. SCHEDULE I Part A, paragraph 3 is hereby amended and replaced to read in its entirety as follows: “3. Notwithstanding the provisions of paragraph 1 above, no withdrawals shall be made in respect of payments made for expenditures prior to the date of this Agreement, except that withdrawals, in an aggregate amount not exceeding the equivalent of $250,000, may be made in respect of the Eligible Categories on account of payments made for expenditures incurred prior to the date of this Agreement but after May 1, 2001.” Please confirm your agreement with the foregoing amendment by signing and dating this letter in the spaces provided below.
