OFFICIAL *r-00 I8 DOCUMENTS Modification No. 8 to the Contribution Arrangement Between the Australian Centrefor International Agricultural Research and the Trustee for th e CGIAR Fund (MTO 069018) dated August 1, 2012 WI- :REAS, a Contribution Arrangement dated April 27, 2011 was made by the International Bank for Reconstruction and Development (the "Bank") and the Australian Centre for International Agricultural Research (the "Fund Donor," and together with the Bank, the "Participants") (as amended from time to time, the "Contribution Arrangement") for the purpose of receiving funds for tie multi-donor trust fund for the CGIAR, MTO 069018, and for which capitalized terms used therein and herein are used as defined in the Glossary as such term is defined in Annex 1 (Defined Ter us) attached to such Contribution Arrangement; and WI- EREAS, the Fund Donor wishes to contribute additional funds to the CGIAR Fund; NOW THEREFORE, the Participants hereto have come to the following understanding: I. The Fund Donor has decided tc contribute a supplemental amount of AUD 5,501,916 (five nil ion five hundred one thousand nine hundred sixteen Australian dollars) (the "Supplemental Coriribution," which is understood to be a "Contribution" as defined in the Glossary) to the CGI \R Fund as specified in paragraph 3 below. 2. The Supplemental Contributior will be administered by the Trustee on behalf of the Fund Don,Dr in accordance with the terms and conditions specified in the Contribution A-rangement, including Annex I (Defined Terms) (until such time as Annex I is replaced by the Glossary tlircugh inclusion thereof in the Common Operational Framework, at which time such Glossary will be incorporated by reference into the Contribution Arrangement), Annex 2 (Trustee Prov,isions), and Annex 3 (Form of W3 Transfer Agreement), as well as the Governance Framework and the CGIAR Principles, which are hereby incorporated by reference, all of which constitute an integral part of the Contribution Arrangement. 3. The Fund Donor will deposit the Supplemental Contribution in cash through a bank trar ler into such account with such bank designated by the Trustee in accordance with the foll wing payment schedule, in each case upon submission of a payment request by the Trustee: i) AUD 1,583,627 (one million five hundred eighty-three thousand six hundred twenty- seven Australian dollars) upon effectiveness of this Modification ("Installment 1"); i) AUD 588,969 (five hundred eighty-eight thousand nine hundred sixty-nine Australian dollars) on or before July 31, 2012 ("Installment 2"); ii) AUD 703,004 (seven hundred three thousand four Australian dollars) on or before Jan 31, 2013 ("Installment 3"); iv) AUD 753,993 (seven hindred fifty-three thousand nine hundred ninety-three Australian dollars) on or before July 31, 2013 ("Installment 4"); e ) AUD 669,732 (six hundred sixty-nine thousand seven hundred thirty-two Australian dollars) on or before Jan 31, 2014 ("Installment 5"); ui) AUD 641,285 (six hundred forty-one thousand two hundred eighty-five Australian dollars) on or before July 3 1, 2014 ("Installment 6"); o ii) AUD 561,306 (five hundred sixty-one thousand three hundred six Australian dollars) on or before Jan 31, 2015 ("Installment 7") 4. When making deposits, the FUnd Donor will instruct its bank to include in its payment detcils information (remittance advice) field of its SWIFT payment message, information indicating: the amount paid, that the payment is made by the Fund Donor for the CGIAR Fund (M--O 069018), and the date of the deposit. 5. This Modification may be exec ited in separate counterparts and by each of the Participants separately on a separate counterpart, and each such counterpart, when so executed, will be an orig inal. Such counterparts will togethe- constitute one and the same instrument. 9. It is understood that this Modi'ication is not an international treaty and is not eligible for registration as a treaty under Article 102 of the UN Charter. It is an administrative arrangement betmeen the Trustee and the Fund Doncr. 10. This Modification will be carried out as of the date of the last signature of the Participants herc:o, acting through their duly authorized representatives.
