24-Feb-2021 ____________________ Dr. Stuart Minchin Director General Pacific Community SPC Headquarters 95 Promenade Roger Laroque BP D5, 98848 Noumea Cedex New Caledonia Dear Dr. Minchin, Pacific Community: Pacific Resilience Project (Under the Pacific Resilience Program) IDA Grant No. D074-4P and PPCR Grant Number TF0A1131 Amendment to the Financing Agreement and the Grant Agreement and Revision to the Results Framework for the Project We refer to: (i) the financing agreement (“Financing Agreement”), dated October 2, 2015, between the Pacific Community (“Recipient”) and the International Development Association (“Association”) for the Pacific Resilience Project under the Pacific Resilience Program (“Project”) (IDA Grant No. D074-4P) as amended to date; and (ii) the grant agreement (“Grant Agreement”), dated October 2, 2015, between the Recipient and the International Bank for Reconstruction and Development (“IBRD”)(the Association and IBRD, collectively, the “World Bank”), acting as an implementing entity of the Pilot Program for Climate Resilience under the Strategic Climate Fund, for the Project (PPCR Grant Number TF0A1131) as amended to date. We also refer to the Recipient’s letter, dated November 27, 2020, requesting certain amendments to the agreements. All capitalized terms used in this letter (“Amendment Letter”) shall have the same meanings ascribed to them in the Financing Agreement and the Grant Agreement, as may be applicable, unless the context requires otherwise. We are pleased to inform you that the World Bank concurs with your request, and hereby proposes to amend the Financing Agreement and the Grant Agreement and revise the results framework for the Project by way of this Amendment Letter as follows: I. Amendment to the Financing Agreement 1. The Project development objective, as described in the Project Description in Schedule 1 to the Financing Agreement is revised to read as follows: “The objective of the Project is to strengthen early warning and resilient investments of the Participating Countries.” Pacific Community 2 IDA Grant No. D074-4P PPCR Grant No. TF0A1131 II. Amendment to the Grant Agreement 2. The Project development objective, as described in the Project Description in Schedule 1 to the Grant Agreement is revised to read as follows: “The objective of the Project is to strengthen early warning and resilient investments of the Participating Countries.” III. Revisions to the Results Framework The monitoring and results framework for the Project is revised as set forth in Annex I to this Amendment Letter. Except as specifically amended herein, all other provisions of the Financing Agreement and the Grant Agreement shall remain in full force and effect. Please confirm the Recipient’s agreement to the foregoing by having an authorized official of the Recipient sign and date both enclosed copies of this Amendment Letter and returning one copy to the World Bank. Upon receipt by the World Bank of the countersigned copy of this Amendment Letter, the amendments herein shall become effective as of the date of the Recipient’s countersignature.
