  Panama - Guarantees to Citibank N.A. of the United States of America, Bank of Tokyo-Mitsubishi
  UFJ Limited of Japan, and Mizuho Corporate Bank Limited of Japan for Investments in the
  Line 1 Metro Project

  2.      The Board of Directors considered the Report from the President on a guarantee to Citibank N.A.
  of the United States of America, Bank of Tokyo-Mitsubishi UFJ Limited of Japan, and Mizuho Corporate
  Bank Limited of Japan, to cover a loan to finance the Line 1 Metro Project in the Republic of Panama,
  and a guarantee to Citibank N.A. of the United States of America to cover the interest rate swap
  associated with such loan (MIGA/R2012-0022, dated April 20, 2012) and concurred in the issuance of the
  guarantees on the terms and conditions set out in the President’s Report.
