OFFICIAL DOCUMENTS CREDIT NUMBER 6867-TZ Financing Agreement (Tanzania Roads to Inclusion and Socioeconomic Opportunities Project) between THEu UNITED REPUBLIC OF TANZANIA and INTE RNATIONA, DEVELOPMENT ASSOCIATION CREDIT NUMBER 6867-TZ FINANCING AGREEMENT AGREEMENTdated as ofthe Signature Date between THE UNITED REPUBLIC OF TANZANIA ("Recipient") and the INTERNATIONAL DEVELOPMENT ASSOCIATION ("Assouiation"). The Recipient and the Association hereby agree as follows: ARTICLE I - GENERAL CONDITIONS; DEFINITIONS 1.01. The General Conditions (as defined in the Appendix to this Agreement) apply to and Corm part of this Agreement. 1.02, Unless the context requires otherwise, the capitalized terms used in this Agreement have the meanings ascribed to them in the General Conditions or in the Appendix to this Agreement. ARTICLE II- FINANCING 2.01. The Association agrees to extend to the Recipient a credit, which is deemed as Concessional Financing for purposes of the General Conditions, in an amount equivalent to two hundred eight million five hundred thousand Special Drawing Rights (SDR 208,500,000) (variously, "Credit" and "Financing"), to assist in financing the project described in Schedule I to this Agreement ("Project"). 2.02. The Recipient may withdraw the proceeds of the Financing in accordance with Section III of Schedule 2 to this Agreement. 2.03. The Maximum Commitment Charge Rate is one-half of one percent (1/2 of 1%) per annum on the Unwithdrawn Pinancing Balance. 2.04- The Service Charge is three-fourths of one percent (3/4 of I%) per annum on the Withdrawn Credit Balance, 2.05. The Payment Dates are March I and September 1 in each year. 2.06. The principal amount of the Credit shall be repaid in accordance with the repayment schedule set forth in Schedule 3 to this Agreement. 2.07. The Payment Currency is Dollar. ARTICLE III - PROJECT 3.01. The Recipient declares its commitment to the objective of the Project. To this end. the Recipient shall carry out its Respective Parts of the Project and cause the -2- Project Implementing Entities to carry out their Respective Parts of the Project in accordance with the provisions of Article V of the General Conditions, Schedule 2 to this Agreement and the Project Agreement, as the case may be, ARTICLE IV -FYVFCTIVENESS; TERMINATION 4.01 The Additional Conditions of Effectiveness consist of the following: (a) the Recipient and the Project Implementing Entities have entered into their respective Subsidiary Agreements, pursuant to Section LB of Schedule 2 to this Agreement, in terms and conditions acceptable to the Association; (b) the Recipient has established the Steering Committee, in a manner and substance satisfactory to the Association, pursuant to Section LA of Schedule 2 to this Agreement; (c) TARURA has established and staffed the Project Implementation Unit in a manner and substance satisfactory to the Association, pursuant to Section I.A. I(a) of the Schedule to the Project Agreement; and (d) the Project Implementing Entities have prepared and adopted a Project Implementation Maniual, in a manner and substance satisfactory to the Association, pursuant to Section LI of the Schedule to the Project Agreement. 4.02. The Effectiveness Deadline is the date ninety (90) days after the SignatUre Date. 4.03. For purposes of Section 10.05(b) of the General Conditions, the date on which the obligations of the Recipient under this Agreement (other than those providing for payment obligations) shall terminate is twenty (20) years after the Signature Date. I1he Project consists of the following parts. Component 1: Rural Roads Development and Maintenance (a) Regional Roads Upgrades: (i) Carrying out studies for the upgrade of regional roads; and (ii) upgrading regional roads in Pre-Selected Districts of Targeted Regions, applying a people-centered approach and ensuring all-season access. (b) District Roads Upgrades: (i) Carrying out studies for the upgrade and/or rehabilitation of rural district roads; and (ii) upgrading and/or rehabilitating rural district roads in Pre-Selected Districts of Targeted Regions, applying a people- centered approach and ensuring all-season access. (c) District Roads Bottleneck Improvements (1) Carrying out studies for rural district road bottleneck improvements (eg, minor resiliency improverients and/or minor rehabilitation/upgrades); and (ii) carrying out bottleneck improvements in rural district roads across all Mainland Administrative Regions except Dar-es-Salaam. (d) Communiy-Based Routine Maintenance: Carrying out routine maintenance of rural district roads (approximately 23,000 km) across all Mainland Administrative Regions except Dar-es-Salaam, with the involvement of local communities by means of CormMunity-based routine Tiaintenance. Conponent 2: Institutional Strengthening and Human Capital Development Strengthening the institutional capacity of rural roads asset management institutions for the sustainable management of rural roads through: (a) Rural Roads Sector Policy Fraewo-k Strengthening: (i) Developing and updating relevant sectoral policies, plans and strategies for the rural road subsector; and (ii) implementing institutional strengthening activities to build PO-RALG and MoWT capabilities to design policies for, and monitor and evaluate, road management performance; (b) Institutional and Adtinistrative Strengthening: Strengthening the institutional and administrative capacities of TARURA, including: (i) updating/dcvoloping and implementing organizational development strategies. plans, policies, manuals, processes, and regulations; (ii) providing essential equipment for TARURA's -6. operability (e.g. vehicles, small Facilities, etc.); (iii) strengthening TARURA's ICT systems through selected plans and designs; and (iv) carrying out trainings for all preceding activities. (e) Technical Strengthening: (i) Strengthening the technical capabilities of TARURA including: (A) modernizing rural roads asset manageTert pracficos (i.e., planning, design, development, operation and maintenance with special focus on climate resilience) and information systems; (B) enhancing planning, research and engineering practices, as well as social and environmental management protocols and standards, to incorporate climate resilience, road safety and environmental and social considerations in rural and district roads development operation and maintenance, arid (C) updating low-volume roads manual, design standards and technical specifications, to incorporate a people-centered perspective, and climate resilience, roads safety and environmental and social considerations; and (ii) strengthening the technical capabilities of TANROADS for regional roads planning, including: (A) developing and updating standards, manuals and specifications for regional roads; (B) carrying out research activities; and (C) improving emergency preparedness and emergency management capabilities. (d) Road Sqfety Developmen: Strengthening the institutional capacity of TARURA and TANROADS for road safety management, including: (i) providing inputs to update road safety policies, plans, guidelines and strategies, and formulating road safety action plans; (ii) providing inputs to design and implement safety data collection and management systems for district roads; (iii) developing TARURA's and TANROADS' technical manuals incorporating safety inputs for road design, construction and operation; (iv) implementing road safety knowledge exchanges, education, research and innovation, training and awareness activities; and (v) facilitating inter-institutional coordination among road safety stakeholders. Component 3: Community Engagement, Inclusion and Protection (a) Community Engagement: Designing and implementing proactive policies to involve communities in Project design and monitoring, with special Focus on women and other groups in a situation of vulnerability, institutionalizing people- centered design approaches to rural roads development. (b) Community Inclusion. Designing and implementing a national model for TARURA's community-based routine maintenance with emphasis on participation of women and other groups in a situation of vulnerability. (c) CommunitY Protection: (i) Designing, implementing and monitoring risk mitigation and response measures for GBV, including sexual exploitation and abuse, sexual harassment in the workplace, transmittable diseases and other potentially sensitive community and social risks that may arise in connection with -7- the Project; and (ii) carrying out education/awareness campaigns, trainings and sensitizing for TARURA's and TANROADS' staff. Component 4: Project Management, Monitoring and Evaluation Strengthening TARURA's and TANROADS' institutional capacity to carry out the Project, including: (i) establishing a Project Implementation Unit; (ii) implementing procurement and financial management activities, environmental and social monitoring actions and mitigation measures; (iii) complying with Project implementation and financial audits, quality assurance responsibilities, technical management and oversight, monitoring and evaluation, and reporting requirements (indlUding designing and implementing Project imract evaluations and assessments); (iv) providing essential equipment for TARURA's operability (e.g., ICT, office equipment, vehicles, etc.); and (v) carrying out trainings, acquiring know-how and organizing knowledge exchange for all preceding activities. Component 5: Contingeney Emergency Response Provision oFlimmediate responsc to an Eligible Crisis or Emergency, as needed. -8- SCHEDULE 2 Project Execution Section 1. Ilnementation Arrangements A. Institutional Arrangements The Recipient shall establish and thereafter maintain throughout the period of Proj ect implementation, a Steering Committee, co-chaired by the Permanent Secretaries of PO-RALG and MoWT, and comprised by representatives of TARURA, TANROADS, PO-RALG, MoWT and MoFP, as well as the participation, whenever needed, ofthe RFB and LATRA as special invitees; which committee shall: (a) have a mandate, terms of reference and resources satisfactory to the Association; and (b) mTeet periodically (at least bi-annually) to provide policy gLidance and high level oversight to the Project Implementing Enities in the carrying out of the Project. B. Subsidiary Agreement 1. To facilitate the carrying out of their Respective Parts of the Project, the Recipient shall make the proceeds of'thc Financing allocated from time to time to Categories (1), (2), (3) and (4) of the table set forth in Section Il.A.1 of this Schedule available to the Project Implementing Entities under their respective subsidiary agreements to be entered between the Recipient and each of the Project Implementing Entities, under terms and conditions approved by the Association (each sLiclI agreement a "SUbsidiary Agreement"). 2. The Recipient shall exercise its rights under the Subsidiary Agreement in such manner as to protect the inirests of the Recipient and the Association and to accomplish the purposes of the Financing. Except as the Association shall otherwise agree, the Recipient shall not assign, amend, abrogate or waive the Subsidiary Agreement or any of its provisions. 3. In the event of any inconsistency between a provision of the Subsidiary Agreement and those of this Agreement and/or the Project Agreement, the provisions of this Agreement and/or the Project Agreement shall prevail. C. Contingency Emergency Response I In order to ensure proper implementation of the Component 5 of the Project ("CER Component"), the Recipient shall ensUre that: (a) a manual ("CERC ManUl") is prepared and adopted in form and substance acceptable to the Association, which shall set forth detailed implementation arrangements for the CER Component, including: (i) any -9- structures or institutional arrangenents for coordinating and implementing the CER Component; (ii) specific activities which may be included in the CER Component, Eligible Fxpenditures required therefor ("Emergency Expenditures"), and any procedures for such inclusion; (iii) financial management arrangements for Ile CER Component; (iv) procuremnent methods and procedures for the CER Coimponent: (v) documentation required for withdrawals of Vinancing arnounts to finance Eniergency Expenditui-es; (vi) a description of the erivironmental and social assessnent and management arrangements for the CER Component; and (vii) a template for Emergency Action Plan: (b) the i-nergency Action Plan is prepared and adopted in form and substance acceptable to the Association; (c) the CER Component is carried out in accordance with Ile CERC Manual and the Emergency Action Plan; provided, however, that in the event of any inconsistency between the provisions of the CERC Manual or the Emergency Action Plan and this Agreement, the provisions of this Agreemlent shafl prevail; and (d) neither Ilie CERC Manual nor the Emergency Action Plan is amended, suspended, abrogated, repealed or waived without the prior written approval by the Association. 2, The Recipient shall ensure that the structures and arrangements referred to in the CERC Manual are maintained throughout the impleIentation of the CER Component, with adequate staff and resources satisfactory to the Association. 3. The Recipient shall ensure that: (a) the environmental and social instrumenrts required for the CER Component are prepared. diselosed and adopted in accordance with the CERC Manual and the ESCP, and in form and substance acceplable to the Association; and (b) the CER ComponrIent is calTied out in accordance with the environmental and social instriuments in a manner acceptable to the Association. 4. Activities under the CER Coinpoient shall be undertaken only after an Eligible Crisis oi EIMergency has occurred. -10- Section 11. Projcet Monitoring, Reporting and Evaluation The Recipient shall cause the Project Implementing Entities to furnish to the Association each Project Report not later than forty-five (45) days after the end of each calendar semester (i.e., six-month period), covering the calendar semester. Section III. Withdrawal of the Proceeds of the FinancinR A. General I. Notwithstanding the provisions of paragraph I above: (a) the following Project expenditures shall not be deemed Eligible Expenditures; and (b) the Recipient shall ensure that they are financed exclusively out of its own, and/or the Project Implementing Entities' own resources, and to this end, shall provide and/or cause the Project Implementing Entities to provide, as promptly as needed, the resources required therefor, namely: () all land acquisiflon required for the purpose of the Project; and (ii) any compensation, resettlement, and rehabilitation payment to Displaced Persons in accordance with the provision of the RPF and the investment- specific RAPs. B. Withdrawal Conditions; Withdrawal Period 1 Notwithstanding the provisions of Part A above, no withdrawal shall be made: (a) for payments made prior to the Signature Date; (b) under Categories (1) unless IANROADS has developed and adopted Operational H-lealth and Safety Measures in a manner and substance satisfactory to the Association, pursuant to the ESCV; (c) Under Category (2), unless TARURA has developed and adopted Operational Health and Safety Measures in a manner and substance satisfactory to the Association, pursuant to the ESCP; or -12- (d) under Category (5), unless and until all of the following conditions have been met: (i) (A) the Recipient has determined that an Eligible Crisis or Emergency has occurred, and has furnished to the Association a request to withdraw Financing UmoTInts under this Category (5); and (B) the Association has agreed with such determination, accepted said request and notified the Recipient thereof, and (ii) the Recipient has adopted the CERC Manual and Emergency Action Plan, in form and SUbStance acceptable to the Association. 2. The Closing Date is Jine 30, 2027. -13- SCHEDULE 3 Repayment Schedule Principal Amount of the Credit Date Payment Due repayable (expressed as a percentage)* On each March I and September I: commencing September 1, 2027 to and I.5625% including March 1, 2059 The percentages represent the percentage of the principal amount of the Credit to be repaid, except as the Association may otherwise specify pursuant to Section 3.05 (b) of the General Conditions. -14- APPENDIX Definitions . "AnnUal Work Plan and Budget" means each annual work plan, together with the related budget, for the Project to be prepared by the Project Implementing Pntities pursuant to the provisions of Section I.C of the Schedule to the Project Agreement. 2. "Anti-Corruption Guidelines" means, for purposes of paragraph 5 of the Appendix to the General Conditions, the "Guidelines oii Preventing and Combating Fraud and Corruption in Projects Financed by IBRD Loans and IDA Credits and Grants", dated October 15, 2006 and revised in January 2011 and as of July 1, 2016. 3. "Category" means a category set forth in the table in Section Ill.A of Schedule 2 to this Agreement. 4. "CER Component" means Component 5 of the Project, as described in Schedule I to this Agreement. 5. "CERC Manual" means the immediate response mechanism operations manuals referred to in Section LC. I of Schedule 2 to this Agreement, acceptable to the Association, to be adopted by the Recipien for the implementation of the CER Component, in accordance with the provision of said Section, as the same may be updated from time to time will the prior written concurrence of the Association. 6. "Component" means each of die clustered Project activities grouped under the titles; "Component 1. Rural Roads Development and Aaintenance ", "Component 2. Instiztunal SIrengthening and Hwnan Capital Development"; "C.omponent 3: Community Engagement, Inclusion and Protection "; "Comp?onet 4: Project Management, Monitoring and Evaluation " and "Component 5: Contingency Emergency Response" in the Project description in Schedule I to this Agreement. 7. "Displaced Persons" means a person or pursons who. on account of the execution of the Project, has/have experienced or would experience direct economic and social impacts caused by: (a) the involuntary taking of land, resulting in: (i) relocation or loss of shelter; (ii) loss of assets or access to assets, or (iii) loss of income sources or means of livelihood, whether or not such person/s must move to another location; or (b) the involuntary restriction of access to legally designated parks and protected areas, resulting in adverse impact on the livelihoods of sUch person/s. 8. "Eligible Crisis or Emergency" means an event, associated with a natural or man- made crisis or disaster, that has caused, or is likely to imminently cause, a major adverse economic and/or social impact to the Recipient. -15- 9. "Emergency Action Plan" means the plan referred to in Section IC.1(c) ol Schedule 2 to this Agreement, detailing the activities, budget, implementation plan, and monitoring and evaluation aiangements, to respond to the Eligible Crisis or Emergency. 10, "Emergency Expenditures means any of the eligible expenditures set forth in the CERC Manual, in accordance with the provision of Section I.C. I of Schedule 2 to this Agreement, and required for the activities described in such manual to be financed under the CER Component. 11 '%nvironmental and Social Commitment Plan" or "FSCP" means the environmental and social cornniitment plan for the Project, dated March 16, 2021, as the same may be amended from time to time in accordance with the provisions thereof, which sets out the material measures and actions that the Recipient shall carry out or cause to be carried out to address the potential environmental and social risks and impacts of the Project, including the timeframes of the actions and MUsUres, institutional, staffing, training, monitoring and reporting arrangements, and any environmental and social instruments to be prepared thereunder, 12. "Environmental and Social Standards" or "ESSs" means, collectively: (a) "Environmental and Social Standard I: Assessment and Management of Environmental and Social Risks and impacts"; (b) "Environmental and Social Standard 2: Labor and Working Conditions"; (c) -Environmental and Social Standard 3: Resource Efficiency and Pollution Prevention and Management"; (d) "Environmental and Social Standard 4: Community l-lealth and Safety"; (e) "rnvironmental and Social Standard 5: Land Acquisition, Restrictions on Land Use and Involuntary Resettlement"; (f) "Environmental and Social Standard 6: Biodiversity Conservation and Sustainable Management of Living Natural Resources"; (g) "Environmental and Social Standard 7: indigenous Peoples/Sub- Saharan Historically Underserved Traditional Local Communities"; (h) "Environmental and Social Standard 8: Cultural -leritage"; (i) TEnvironmental and Social Standard 9: Financial Intermediaries"; () "Environmental and Social Standard 10: Stakeholder Engagement and Information Disclosure"; effective on October 1, 2018, as published by the Association. 13. "Fiscal Year" means the twelve-month financial reporting period of the Recipient beginning July I of each year and finishing on June 30 of the next following calendar year. 14. "GBV" means gender-based violence. 15. "General Conditions" means the "International Development Association General Conditions for IDA Financing, Investment Project Financing", dated December 14, 2018 (revised on August 1, 2020). -16- 16. "GRM" means variously: (a) the Project-level grievance redress mechanism to be established by TARURA pursuant to the Project Implementation Manual and Stakeholders Engagement Plan; and (b) the grievance redress mechanism to be established by the contractors pursuant to the requirements set forth in Section I.D.7 of the Schedule to the Project Agreement, as the case may be. 17. "IIlV/AIDS'- means the 1luman Immunodeficiency Virus and its associate acquired immunodeficiency syndrome. 18. "ICT" means information and communication technology. 19. "Incremental Operating Costs" means the reasonable incremental operating costs incurred by TARURA and/or TANROADS on account of implementation of its Respective Parts of the Project, including: (a) utilities fees; (b) offices supplies; (c) bank charges; (d) communications expenses; (e) vehicle operation, maintenance, and insurance; (f) office space rental; (g) building and equipment maintenance; (h) public awareness-related media expenses; (i) domestic and international travel and subsistence; and (j) salaries of contractual and temporary staff, but excluding salaries, fees, honoraria, bonuses, and any other salary supplements of members of the Recipient's civil service and/or TARURA and TANROADS' staff. 20. "LATRA" means the Recipient's Land Transport Regulatory Authority, a governmental regulatory body, established pursuant to the Recipient's Land Transport Regulatory Authority Act No. 3 of 2019, published in the National Gazette under Government Notice No. 359 of April 26, 2019. 21. "Mainland Administrative Regions" means the administrative regions of the Rccipient that are located in the continental portion of its territory but, unless otherwise agreed by the Association, excluding Dar-es-Salaam administrative region (i.e., namely, the administrative regions of Arusha, Dodoma, Geita, Iringa, Kagera, Katavi, Kigoma, Kilimanjaro, Lindi, Manyara, Mara, Mbeya, Morogoro, Mtwara, Mwanza, Njombu, Pwani, Rukwa. Ruvuma, Shinyanga, Simiyu, Singida, Songwe, Tabora and Tanga). 22. "MoFP" means Recipient's Ministry of Finance and Planning, and/or any successor to it, acceptable to the Association. 23, "MoWT" means Recipient's Ministry of Works and Transport, and/or any successor to it, acceptable to the Association. 24, '"Operational Health and Safety Measures" means the occupational health and safety document to be adopted by the Project Implementing Entities as condition precedent for the effectiveness of this Agreement and the Project Agreement, arid in a manner and substance satisfactory to the Association, setting forth the measures to be implemented by the Project Implementing Enti1ies and their -17- contractors and sub-contractors in order to ieet the environmental and social standards applicable to labor working conditions required by the ESS #2, pursUant to the requirement of the ESCP, as such document may be amended from time to time with the prior written concurrence of the Association. 25. "PO-RALG" means the President's Office - Regional Administration and Local Government, which is the Recipient's cabinet-level department, under the President's Office. responsible for management of regional administration and local government, or a successor thereto. 26. "Pre-Selected Districts" means the Recipient's districts of: (a) I landeni DC in Tanga administrative region; (b) Mbogwe DC in Geita administrative region; (c) Ruangwa DC in Lindi administrative region; and (d) Iringa DC, MLufindi DC and Kilolo DC in Iringa administrative region; and/or any other districts in Targeted Regions as the Recipient and the Association may agree in writing. 27. "ProcureIent Regulations" means, for purposes of paragraph 87 of the Appendix to the General Conditions, the "World Bank Procurement Regulations for IPF Borrowers", dated November 2020, 28. 'Project Implementation Manual" means the implementation manual for the Project to be prepared and adopted by the Project Implementing Entities as a condition precedent to the effectiveness of this Agreement and the Project Agreement, pursuant to Section I.B. I of the Schedule to the Project Agreement, as the same may be amended from time to time with the prior written concurrence of the Association. 29. "Project Implementation Unit" and the acronym "PlU" mean the Project implementation unit to be established by 'lARURA pursuant to Section I.A I(a) of the Schedule to the Project Agreement. 30. "Project Implementing Entity" means either TARURA or TANROADS, as the case may be, individually considered. and the term "Project Implementing Entities" means, collectively, both such entities. 31. "RAPs' means, collectively, the Project Implementing Entities' resettlement action plans prepared, or to be prepared, pursuant to RPF and the ESCP, in a maTner and substance satisfactory to the Association, in each case identifying the Displaced Persons on account of implementation of the Project activities, and setting forth the terms and conditions for providing their with resettlement assistance and/or compensation, including the protocols for consultation, processing of complaints and grievance redressal, monitoring and reporting requirements, and the Displaced Persons' entitlement schedules, as such plans may be amended from time to time with the prior written concurrence of the Association. -18- 32. "RFB'" means the Recipient's Roads Fund Board established pursuant to Suclion 5 of the Recipient's The Roads and Fuels Tolls Act [Cap. 220] [R.E. 2019Jor any successor to it acceptable to the Association. 33. "Respective Parts of the Project" means: (a) for TANROADS. (i) all activities Linder Sub-component 1(a) of the Project; and (ii) any activities in respect of regional roads and its own institutional strengthening under Sub-components 2(c) and 2(d), and Component 4 of the Project; (b) for TARURA: (i) all activilies tinder Sub-components 1(b), 1(c), 1(d), 2(a), 2(b) and 2(e), and Component 3 of the Project; and (ii) any activities in respect of district roads, as well at its own institutional strengthening under Sub-components 2(c) and 2(d) and Component 4 of the Project; and (c) for the Recipient; all activities under Component 5. 34. "RPF' means the Project implementing Entities' resettlement policy framework to be prepared and adopted pursuant to the ESCP, in a manner and substance satisfactory to the Association, disclosed on the Association's website on April 14, 2020, sLtIing forth the guiding principles, acceptable standards and procedures for. (a) the screening of the activities tinder their Respective Parts of the Project and identifying Displaced Persons, on accoLnt oC their implementation; and (b) preparing RAP(s), as required; as such framework may be revised, updated or supplemented from time to time with the prior written concurrence of the Association. 35. "Signature Date" means the later of the two dates on which the Recipient and the Association signed this Agreement and such definition applies to all references to "the date ofthe Financing Agreement" in the General Conditions. 36. "Stakeholders Engagement Plan" means formal strategy, dated March 25, 2020, prepared by the Project Implementing Entities to communicate with Project stakeholders , in a manner and substance satisfactory to the Association, and disclosed on the Association's website on April 8, 2020, which strategy sets out the mechaisTIs for identifying stakeholders, gauging their interests and providing them and their communities with systematic means and processes for inclusive and meaningful engagement to influence Project design and implementation, including a grievance redress mechanism, as said instrument may be updated from time to time with the prior written concurrence of the Association. 37. "Steering Committee" means the steering committee to be established by the Recipient pursuant to Section LA of Schedule 2 to this Agreement. -19- 38. -$ub-component means each of the cluslered Project activities g-ouped under the titles "I.(q) RegionalRoads Upgrades" "1.(b) District Roads Upgrades"; "l.(c) Disricl Roads Bottleneck Improvemens" "I.(d) Community-Based Routine Maintenance ": 2. (a) Rural Roads Sector Policy Framework Strengihening ": -2.(b) Institutional and Adminisrative Strengthening"; '2.(c) Technical Strengthening '2.(d) Road Safely Developmeni"; -3.(a) Conmunity Engagement ". '3.(b) Community Inclusion "; and "3. (c) Community Protection in the Project description in Schedule 1 to this Agreement. 39. '"Subsidiary Agreement" means the agreement(s) to be entered into between the Recipient and the Project Implementing Entities, pursuant to the provisions of Section I.B.1 of Schedule 2 to this Agreement, and in a manner and substance satisfactory to the Association, as such agreement(s) may be updated from time to time with the prior written concurrence of the Association. 40. "TANROADS" means the Tanzania National Roads Agency, an executive agency of the Recipient, established under Section 3(l) of the Executive Agencies Act (Cap. 24$) (R.cipient's Act 30 of 1997 and IS of 2002 of December 11 1997, G.N. No. 83 of 2003), as per the Order issued under Government Notice No. 293, published in the National Gazetle on AugUst 25, 2000, or any successor acceptable to the Association. 41. "Targeted Regions" means the Recipient's administrative regions of Tanga, Geita, leindi and Iringa and/or any other administrative regions as the Recipient and the Association may agree in writing, 42. "TARURA" means the Tan'zania Rural and Urban Road Agency, an exectilive agency of the Recipient, established under Section 3(1) of the Executive Agencies Act (Cap. 245) (Recipient's Act 30 or 1997 and 18 of2002 or December 11, 1997, G.N. No. 83 of 2003), as per the Order issued under Government Notice No. 211, published in the National Gazette on May 12, 2017, or any successor acceptable to the Association. 43. "Technical Committee" means the Project's technical advisory committee to be established by TARURA pursuant to Section 1.A.I(c) of the Schedule to the Project Agreement. 44. "Workshops & Trainings' means the reasonable costs of training. workshops and conferences conducted in the territory of the Recipient, or, subject to prior approval by the Association, attended abroad by the Projcut Implementing Entities' officials and staff in connection with the Project, including the purchase and publication of materials, rental of facilities, course fees and travel and subsistence of trainees.
