            Dear Dr. Clos:

                    Supplemental Contribution Amendment between the United Nations
                    Human Settlements Programme and the International Bank for
                    Reconstruction and Development and the International Development
                    Association concerning the Cities Alliance Multi-Donor Trust Fund
                    (TF054674)

            1.     We refer to the Agreement between the United Nations Human Settlements
            Programme (UN-HABITAT) (the “Donor�) and the International Bank for
            Reconstruction and Development (“IBRD�) and the International Development
            Association (“IDA�) (collectively the “Bank�) regarding the Cities Alliance Multi-Donor
            Trust Fund (TF054674) (the “Trust Fund�) effective as of December 15, 2003, as
            amended (the “Agreement�).

            2.     We are pleased to acknowledge, on behalf of the Bank, the intention of the Donor
            to make a supplemental contribution to the Trust Fund in the amount of four hundred
            thousand United States dollars (USD 400,000) (the “Supplemental Contribution�).

            3.     The Donor shall deposit the Supplemental Contribution into such bank account
            designated by the Bank promptly following countersignature of this Amendment by the
            Donor and submission of a payment request by the Bank.

            4.      When making such deposit, the Donor will instruct its bank to include in its payment
            details information (remittance advice) field of its SWIFT payment message, information
            indicating: the amount paid, that the payment is made by the Donor for TF054674 (Cities
            Alliance Multi-Donor Trust Fund) and the date of the deposit (the “Deposit Instruction�). In
            addition, the Donor shall provide a copy of its Deposit Instruction to the Bank’s Accounting
            Trust Funds Division by e-mail to tfremitadvice@worldbank.org or by fax to (202) 614-
            1315.

5.     All of the Supplemental Contribution shall be allocated to the Core Fund of the Trust
Fund. The Donor’s Supplemental Contribution to the Trust Fund will qualify the Donor for
membership in the Cities Alliance Consultative Group until December 31, 2011.

6.     All other terms and conditions of the Agreement shall remain the same.

7.     The Bank will disclose this Amendment and related information on this Trust Fund in
accordance with the World Bank Policy on Access to Information. By entering into this
Amendment, the Donor consents to the disclosure of this Amendment and related
information on this Trust Fund.

8.      Please confirm your agreement to the foregoing, on behalf of the Donor, by signing
and dating the two originals, retaining one original for your records and returning the other
original to the Bank. Upon receipt by the Bank of the original countersigned by you, this
Amendment will become effective as of the date of the countersignature.
