Amendment No. 1 to the Administration Agreement between the African Development Bank and the
    International Bank for Reconstruction and Development and the International Development
 Association regarding the Debt Management Facility Phase III (DMF III) Multi-Donor Trust Fund
                                    (Trust Fund No. 073419)

1.      Reference is made to the Administration Agreement between the African Development Bank (the
“Donor”) and the International Bank for Reconstruction and Development and the International
Development Association (collectively, the “Bank” and together with the Donor, the “Parties” and each a
“Party”) regarding the DMF III Multi-Donor Trust Fund (Trust Fund No. 073419) effective as of February
20, 2020 (the “Administration Agreement”).

2.       The Bank acknowledges that the Donor agrees to provide the sum of five hundred eighty-eight
thousand eight hundred six United States Dollars and ninety two cents (US$ 588,806.92) representing its
pro-rata share of uncommitted funds as at the end disbursement date of the Debt Management Facility Phase
II Multi-Donor Trust Fund (TF072838) (the “Contribution”), for the Trust Fund in accordance with the
terms of the Administration Agreement.

3.       The Donor hereby authorizes the Bank, promptly following countersignature of this Amendment,
to transfer the Contribution from the Donor Balance Account (TF059112) to this Trust Fund (TF073419).

4.       All other terms of the Administration Agreement shall remain the same.

5.     Each of the Parties represents, by confirming its agreement below, that it is authorized to enter into
this Amendment and act in accordance with these terms and conditions. The Parties are requested to sign
and date this Amendment, and upon possession by the Bank of this fully signed Amendment, this
Amendment shall become effective as of the date of the last signature.
