                                 Amendment to the Grant Agreement

Dear Sir:

         I refer to the Letter Agreement (“Agreement”) between the International Bank for Reconstruction
and Development (“World Bank”), acting as Implementing Agency of the Global Environment Facility
(GEF), and the Observatory of the Sahara and the Sahel (“Recipient”) (“OSS”) for the above-referenced
project, dated October 24, 2018. Please note that the capitalized terms used in this letter (“Amendment
Letter”) and not defined herein have the meanings ascribed to them in the Agreement.

        We also refer to the need to amend the condition of withdrawal under the Agreement. Therefore,
paragraph 3.02 is amended to read as follows:

                “3.02. Withdrawal Conditions. Notwithstanding the provisions of Section 3.01 of this
        Agreement, no withdrawal shall be made for payments made prior to the date of this Agreement.
        except that withdrawals up to an aggregate amount not to exceed $36,697 equivalent may be made
        for payments made prior to this date but on or after December 1st, 2017, for Eligible Expenditures
        under Category (1).”

       All the terms and conditions of the Agreement that have not been amended hereby shall remain
unchanged and in full force and effect.

        Please confirm your agreement with the foregoing amendment, on behalf of the Recipient, by
signing, dating and returning to the World Bank the enclosed copy of this Amendment Letter. This
Amendment Letter shall become effective as of the date of its countersignature upon receipt by the World
Bank of a countersigned copy.
