Summary of Proposed Changes This restructuring paper (RP) consists of (i) an 18-month extension of the closing date of the Project from June 30, 2016 to December 30, 2017; (ii) a restructuring of the Project’s results framework to ensure that indicators are realistic and attributable to the project; (iii) an update of Project cost to reflect real contract values; (iv) reallocation between disbursement categories to better reflect activities to be financed by the loan; and (v) an update of disbursement estimates to account for the new implementation schedule. The proposed restructuring follows the agreements reached during the Mid-Term Review (MTR) carried out by the Task Team (TT) and the Borrower (the CAR) in January 2016. The Bank received a formal five-year extension request of the Project’s closing date from the CAR on May 23, 2016 to complete the Salitre Wastewater Treatment Plant (WWTP) turnkey contract, fully disburse the loan amount, and achieve the Project Development Objective (PDO). The National Planning Department (Departamento Nacional de Planeación – DNP) of Colombia has expressed its agreement to the extension (letter dated May 2, 2016), as well as the Ministry of Finance (Ministerio de Hacienda y Credito Publico – MHCP) in a letter dated June 10, 2016. The Bank approves an 18-month extension of the closing date to allow time for the CAR to sign the Salitre WWTP turnkey contract, demonstrate good performance, and appropriate contract management. By the conclusion of the 18-month extension period, a determination of adequacy of implementation progress will be made to inform a future decision to extend the closing date based on the needs of the Salitre WWTP contract. The proposed 18-month extension will allow the project to execute about 15 percent of Component 1 (development of the WWTP’s detailed designs, attainment of all environmental permits and licenses to start construction, and initial earthworks activities) and complete all activities under Components 2 and 3. The Project would only disburse about US$74.5 million (30 percent of the loan). Because the expansion of the Salitre WWTP is a five-year contract that includes four years of construction and one year of operation, a second extension would be needed to ensure the continuity of the Bank’s implementation support during the construction and transfer phases, while also closely monitoring environmental and social safeguards and fiduciary activities. On May 20th, 2016, the Corporación Autónoma de Cundinamarca (CAR) signed the Salitre WWTP turnkey contract with the consortium Expansion PTAR Salitre composed of the firms Aktor (Greece), Aqualia (Spain), and CASS Constructores y Cia (Colombia) for an amount of US$392.6 million1. Contract effectiveness is pending the advance payment bank guarantee from the Consortium. B. Project Status The project is financed by a US$250 million loan approved by the Board in December 2010 to the Corporación Autónoma de Cundinamarca (CAR), the Regional Environmental Authority for the Río Bogotá Basin, and became effective on September 21, 2011. The PDO is to assist the Borrower to transform the Río Bogotá into an environmental asset for the Bogotá Distrito Capital metropolitan region by improving water quality, reducing flood risks, and creating multi-functional areas along the river. The project has four components: (i) upgrading and expanding the Salitre WWTP; (ii) flood control and Río Bogotá environmental restoration works; (iii) environmental and water studies; and (iv) project management and administration. Disbursements. The CAR has retroactively disbursed US$14.5 million or six percent of the loan based on eligible expenditures from the Flood Management and Environmental Restoration component (Component 2). The CAR has committed US$235.5 million of the loan amount to finance part of the Salitre WWTP turnkey contract. Once the advance payment bank guarantee is approved, CAR plans to disburse approximately US$40 million to cover the contract advance payment (anticipo). The disbursement estimates have been updated and are shown in section C “Changes to Disbursement Estimates” of this paper. Client commitment. The Project has strong national, regional, and local government support. The CAR confirmed its commitment towards the successful completion of the Project during the Bank MTR. The former CAR’s General Secretary—a strong advocate and leader of the Río Bogotá Project— is now CAR’s new General Director, which ensures continuity and support in Project implementation. In March 2014, Colombia’s Supreme Court (Consejo del Estado) ruled in favor of the Río Bogotá Action Plan, which includes the Salitre WWTP and a second large WWTP south of Bogotá (Canoas WWTP). This ruling provides a strong case for continuity despite changes in administration. Furthermore, Bogotá’s new mayor has already indicated support for the Río Bogotá Project. Implementation Progress: Component 1 - Salitre WWTP Turnkey Project (US$335 million, of which US$200 million IBRD)2. The CAR has reached a key milestone in Project implementation this fiscal year with the award of the Salitre 2 These are original Project costs as shown in the Project Appraisal Document. These are being revised in the proposed restructuring, refer to section C changes to Components and Costs. 6 WWTP turnkey contract. On April 22, 2016, the CAR awarded the contract to the lowest bidder, the consortium Expansion PTAR Salitre (Aktor-Greece, Aqualia –Spain, and CASS Constructores y Cia - Colombia)) for an amount of US$392.6 million. The CAR expects the contract to become effective by July 2016. To ensure smooth and successful implementation of the contract, CAR contracted a Program Management firm (IVK Consortium) in November 2015 to support CAR in the oversight and contract management of the Salitre WWTP Turnkey contract. This component experienced significant setbacks during the preparation of bidding documents for the Salitre WWTP turnkey contract and during the procurement processes for both the Program Management firm and the Salitre WWTP turnkey contracts. Component 2 - Rio Bogota River Works (US$140 million, of which US$41 million IBRD)3. Good progress continues to be made under this component. Flood control works for the river’s first 52.5 km are about 90 percent completed and the resettlement of approximately 105 families from El Porvenir’s poor, flood-prone urban area to a new neighborhood with improved living conditions has been finalized and hence the last section of the river bank, where the informal settlements were located, can now be intervened. The CAR has also finalized the construction of the San Nicolas park, a recreational area of 2.26 hectares for children of different ages from low-income neighboring communities and which represents an important improvement in their quality of life.4 The CAR has awarded the contract for the remaining 16 km, which is expected to be completed in December 2017. In addition, the CAR has created six multifunctional areas out of the original eight along the river (165 ha) that serve as inundation zones, ecological habitats and/or public spaces. The remaining two multi-functional areas will not be constructed as it was not possible to acquire the required land in the proposed locations. The CAR expects completion of all flood control and landscaping works by December 2017, thereby meeting the part of the PDO related to “reducing flood risks and creating multi-functional areas along the river”. Component 3 - Technical Assistance (US$7 million, of which all IBRD)5. The CAR continues to make progress under this component. The main consultancy under this component, the Integrated River Basin Management Master Plan, is under implementation with good performance (secondary and primary data has been collected; the consultant firm is working on developing a platform to integrate various hydrological, hydraulic and water quality models to make forecasts of future water resources challenges in the basin, and based on those results develop action lines for the Master Plan). The procurement processes for the other two studies (the Biosolids Management Plan; and the Design, Operation, and Maintenance of Multifunctional Areas Study) are advancing and their associated international consultancy contracts are expected to be awarded by November 2016. Ratings. Implementation progress is rated Moderately Satisfactory (MS) based on recent progress made on (i) the award of the Salitre WWTP turnkey contract, (ii) the river works, environmental restoration of riparian areas and the successful resettlement of 105 families under Component 2; and (iii) moderate progress under Component 3. The PDO rating continues to be Moderately Unsatisfactory (MU). The TT will reassess the PDO rating once construction under the Salitre WWTP turnkey contract starts. Strengthening the PIU. The CAR is developing a new Project Implementation Unit (PIU) organization chart to strengthen its team for improved support for the implementation of Components 1 and 2. A main actor in the organization chart is the Program Manager. The TT reviewed the new organization chart and found it to be acceptable. Mitigation of risks. During the MTR of the Project, a workshop was conducted with CAR staff, the Program Manager and the TT. The workshop focused on identifying potential risks and determining a timetable for contract implementation. The workshop concluded that a five year period is feasible to reach the project’s objectives; however, there are potential risks that have been identified in the past that need careful attention and a coordinated mitigation plan. The risks include: social opposition from neighboring communities and environmental non-governmental organizations (NGOs); and uncertainty on the amount of solid waste that needs to be removed from the Salitre site. There is a contingency amount included in the Salitre contract in case additional solid waste needs to be removed and CAR has a dedicated social and environmental team working with the community through open communication discussion table (mesas de concertacion). The workshop concluded that the Program Manager needs to develop a risk and mitigation plan. The TT will follow-up in this respect during the next mission scheduled in July 2016. . C. Proposed Changes . Development Objectives/Results Project Development Objectives Original PDO The objective of the Project is to assist the Borrower to transform the Rio Bogotá river into an environmental asset for the Bogotá Distrito Capital metropolitan region by improving water quality, reducing flood risks, and creating multi-functional areas along the river. Change in Project's Development Objectives Change in Results Framework Explanation: During the MTR of the Project, the Task Team and the CAR agreed to adjust the Project’s results framework to ensure that (i) the indicators are realistic and attributable to the Project; (ii) modifications to the Project’s scope are reflected in associated targets; and (iii) all target end dates are aligned with the new closing date and the Salitre WWTP turnkey contract duration. As indicated before, the Salitre WWTP contract has a duration of five years that goes beyond the proposed loan closing date in this paper; therefore, if the loan is not extended the Project would not meet Component 1 related indicators. Specifically, the following changes are proposed: Include the corporate indicator “Direct Project beneficiaries, of which % is female”, with the target population of 2.86 million people. Direct Project beneficiaries are defined as the population receiving improved wastewater treatment services due to the expansion of the El Salitre WWTP and the population under reduced risk of flooding. Revise the PDO indicator “The water quality in the Río Bogotá middle basin meets Class IV water quality standards for BOD (50 mg/l) and TSS (40 mg/l)” to “The Salitre WWTP meets effluent discharge limits for BOD, TSS and total coliform” The TT and CAR agreed that the indicator’s original formulation does not reflect well what is achievable under the Project’s scope because there are other factors affecting the water quality of the Rio Bogota, which are outside of the Project’s control. The proposed targets are BOD 5 < 30 mg/L and TSS < 30 mg/L based on a monthly average (arithmetic mean of effluent sample collected on a separate day during a period of 30 consecutive days). The proposed target of total coliforms < 1000MPN/100mL for 90 percent of the samples in a month. Meeting the proposed discharge standards will 8 reduce the pollution load discharged into the Rio Bogota, thereby directly contributing to achieving the PDO of improving the river’s water quality. This indicator will start being measured once the new Salitre WWTP is operational. Revise the PDO indicator “Recuperation of eight multifunctional areas along the Río Bogotá with an area of approximately 175 hectares that have the following attributes: inundation zones, ecological habitat, and public space” to “Number of hectares of multifunctional areas along the Rio Bogota recuperated under the Project” and the supplemental indicator “Number of multifunctional areas along the Rio Bogota recuperated under the Project.” Multifunctional areas are defined as spaces that serve as inundation zones, ecological habitats and/or public spaces. The targets are being reduced to 165 ha and six multifunctional areas respectively to reflect the progress achieved under the Project, given that the land for two of the eight original multi-functional areas could not be acquired by the CAR. With the proposed change, the indicator would already be achieved, and hence, also its associated part of the PDO related to “creating multi-functional areas along the river”, since 165 ha corresponding to six multifunctional areas along t he river have been acquired, intervened to allow for flooding areas, as well as for ecological habitats (plantation of trees) and for public spaces. These areas will be improved and adjusted according to the final designs for multi-functional areas resulting from the study supported under Component 3. Revise the Intermediate level indicator “Expansion of WWTP design flow from 4 m3/s to around 8 m3/s meeting a discharge standard of 30/30 mg/l BOD/TSS” to “Expansion of WWTP design flow from 4 m3/s to around 7 m3/s” to reflect the wastewater flows and characteristics results including in the PTAR Salitre bidding documents. Discharge standards for BOD and TSS are eliminated since they are now part of the PDO target indicator. Include the intermediate level indicator “People under reduced risk of flooding as a result of the Project” with the target 125,387 people. Include the intermediate level indicator “Grievances registered related to the expansion of the El Salitre WWTP addressed” with the end target of 95%. Adjust the formulation of the remaining indicators for clarity purposes. Adjust indicator target dates. .
