Amendment to the Arrangement betw een the Ministry of Finance of Japan
        and the Intern ational Bank for Reconstruction and Development and the International
       Development Association regarding the Policy and Human Resources Development Fund
                                       (Trust Fund No. 0213 30)

1.        Reference is made to the Arrangement between the Ministry of Finance of Japan (the "Donor") and
the International Bank for Reconstruction and Development and the International Development Association
( collectively, the "Bank" and together with the Donor, the "Parties" and each a "Party") regarding the Policy
and Human Resources Development Fund (PHRD) (Trust Fund No. 021330) (the "Trust Fund") effective
as of March 29, 1999, as amended (the "Arrangement").

2.       Pursuant to recent discussions between the Bank and the Donor, the Parties agree to cancel the
amount of sixty-two million five hundred ninety-four thousand four hundred forty-eight United States
Dollars and thirty-four cents (USD 62,594,448.34) from the uncommitted balance of the Trust Fund.
Furthermore, the amount of one million seven hundred seventy-two thousand nine hundred ninety-seven
United States Dollars and eighty cents (USD 1,772,997.80), previously retained for the Bank's own account
as an administration fee, will be credited to the Trust Fund. The Donor hereby authorizes the Bank,
promptly following countersignature of this Amendment, to transfer the above amounts to the PHRD
parallel trust fund account (Trust Fund No. 072610).

3.      All other terms of the Arrangement will remain the same.

4.     The Bank will disclose this Amendment in accordance with the Bank's Policy on Access to
Information. By entering into this Amendment, the Donor consents to such disclosure.

5.       Each of the Parties represents, by confirming its acceptance below, that it is authorized to enter into
this Amendment and act in accordance with its provisions. The Parties are requested to sign and date this
Amendment, and upon possession by the Bank of this fully signed Amendment, this Amendment will come
into effect as of the date of the last signature.
