The Loan and Project Agreements have been signed on July 7th, 2019 and September 8th, 2019 respectively and project effectiveness has been extended from October 5 until December 6, 2019. The effectiveness conditions are: i. Receipt by the Bank of a satisfactory Legal Opinion confirming on behalf of the Loan beneficiaries The South Electricity Distribution Company and The South Electricity Transmission Company (SEDC and SETC) that the Project Agreement has been duly authorized or ratified by, and executed and delivered on their behalf and is legally binding upon them in accordance with the Agreement’s terms; iii. Execution by the Borrower (MoF), South Electricity Distribution Company (SEDCO) and South Electricity Transmission Company (SETCO) of the Subsidiary Agreement in accordance with the provisions of the Loan Agreement; iv. Receipt of the legal opinion on behalf of the MOF that the Subsidiary Agreement is effective and binding, and v. Adoption by SEDCO of the Project Implementation Manual (PIM). During the mission, the Bank team reviewed and discussed the PIM in detail with SEDCO and SETCO Project Management Teams and provided the clarifications needed on project implementation preparation, procurement and financial management.
