No I. PROJECT STATUS AND RATIONALE FOR RESTRUCTURING 1. This Restructuring Paper seeks approval to restructure the Central African Economic and Monetary Community (CEMAC) Transport and Transit Facilitation Project (TTFP) (CEMAC TTFP, P079736); Credit 4337-CM, Credit 4659-CM; Credit 4987-CM; Grant H315-CD; Grant H522-CA; Grant H798-CF; Credit 5146-CF for Cameroon, Central African Republic (CAR), and Chad. The proposed restructuring is for an extension of the Project’s closing date by 17 months, to allow for the completion of activities, including finalizing the rehabilitation of the Mora-Dabanga-Kousseri road by the Cameroon Army Corps of Engineers in Northern Cameroon. The current closing date is January 31, 2019. This proposed fifth extension request of the Project closing date by 17 months from January 31, 2019 to June 30, 2020, would result in a total cumulative extension to the closing date of 89 months (7.4 years), bringing the Project life to 13 years. 2. The Project was approved on June 26, 2007, and was followed by three Additional Financing (AF) operations aimed at scaling up project activities (November 2009, June 2011, and July 2012). 3. The implementation progress (IP) of CEMAC TTFP is currently rated Moderately Unsatisfactory (MU) due to (i) delayed implementation of major road works as a result of the continued challenging security situation in both Northern Cameroon and CAR; and (ii) the road works component in Chad, which was delayed and then cancelled by the Government of Chad (GoCh) due to lack of counterpart funding. However, significant progress has been achieved over the past year with resumption of road works in CAR and in Cameroon, and the reallocation of funds for the construction of the new Customs General Directorate building in Chad. As the major works transition from mobilization to execution, along with payment of advance payments, the disbursement rate and performance of the project is expected to improve accordingly to a satisfactory level. 4. The project development objective (PDO) is to facilitate regional trade among the Member States and improve the CAR’s, the Republic of Cameroon’s, and the Republic of Chad’s access to world markets. The progress towards achievement of PDO is currently rated Moderately Satisfactory (MS), and the implementation status by component is as follows: a. Component A (Roads and Railways Infrastructure Improvement): (i) In CAR: This component finances the rehabilitation of a 58-km paved road between Boaro and Bouar on the Douala-Bangui corridor. The road works contract (US$65 million) is now signed and the mobilization of the contractor and supervision engineer is ongoing. After a successful first phase, which generated more than 50,000 man-days, a second phase of an US$8 million labor-intensive program for the rehabilitation of urban roads in Bangui is now being implemented. It will also provide jobs for unemployed youth, improve basic road infrastructure in the capital city, as well as promote social cohesion; The World Bank CEMAC - Transport-Transit Facilitation (P079736) (ii) In Cameroon: This component finances road and rail track rehabilitation in Cameroon. The Ngaoundéré- Garoua and Mbéré-Ngaoundéré road works have been successfully completed and handed over to the Government. The final payment certificates are however yet to be endorsed and paid. The Mora-Dabanga- Kousseri road works are now resuming. Implementation of the innovative Mora-Dabanga-Kousseri road works by the Cameroon Army Corps of Engineers in Northern Cameroon has so far been satisfactory. Works started in March 2018 after about a year of implementation of all the risk mitigation instruments. Initial advance payments were processed and a specific Third Party Monitoring (TPM) agent has been hired to help the World Bank team supervise the works, building on periodic reporting from the multiple supervision mechanisms on the ground (supervision engineers, grievance redress mechanism [GRM], decentralized PIU, social communication campaign, gender-based violence [GBV] NGO). For railway activities, the US$17 million 175 km rail track rehabilitation between Batchenga and Kaa’ is now progressing at a satisfactory manner and should be completed by August 2018. The depollution of stations and rehabilitation of 12 bridges are however experiencing contract management issues and have been delayed; and (iii) In Chad: This component intended to finance road works in Chad. However, the Bongor – Ere – Kelo road works contract has been terminated by the GoCh due to the poor performance of the contractor and the difficulties in mobilizing counterpart funding given the worsening fiscal situation resulting from the drop in oil price. As of now, the GoCh does not have the capacity to finance the works. Some maintenance is being carried out under the Road Fund financing to ensure all weather accessibility. In April 2018, a restructuring was approved to reallocate the undisbursed amount of the Bongor – Ere – Kelo road works contract and related expense categories previously assigned for the supervision of road works to complete the construction of the new Customs General Directorate building. At the time the works were halted, physical completion of the building was at 28 percent; construction has not yet recommenced as safeguards documents are currently being finalized. b. Component B (Transit and Transport Facilitation (TTF) Activities): Along with the implementation of the TTF activities of the Project, specific attention is being paid to the strengthening of the regional dialogue on TTF between the Customs and Transport administrations of the three countries involved to support the implementation of the new CEMAC transit regime. The CEMAC transit regime is yet to be fully operational despite its endorsement by the CEMAC regional economic commission in 2010. In the meantime, the Cameroon customs are about to shift to a new customs information system which will require Chad and CAR to adjust theirs to be able to reconcile their customs information data with that of Cameroon. The World Bank is helping foster a dialogue among the Director Generals (DGs) of the three customs agencies to reinforce the sustainability of investments and ensure consistency. A workshop was held in May 7-8, 2018 to discuss a common action plan for the promotion of the Unique Transit Regime (Regime Unique de Transit). Meaningful results have been achieved including the automation of trade clearance procedures under the single window (Guichet Unique pour le Commerce Extérieur, GUCE), e.g. from zero during project kickoff to more than 45 clearance procedures being automated today in Cameroon. The capacity of the various key stakeholders has been reinforced and synergies strengthened. The construction of the Customs General Directorate Building in Chad is ongoing with a current physical completion rate of 28 percent. c. Component C (Customs and Transport Sector Institutional Strengthening and Capacity Building): The World Bank signed a Memorandum of Understanding (MoU) in January 2010 to establish a partnership to pursue the global agenda on road safety along main transit and transport development corridors in Africa. This initiative is being rolled out along two of the busiest and most hazardous corridors of the continent, namely the Northern Corridor (in Kenya, Uganda, Rwanda and Burundi) and the Central Corridor (in Cameroon, CAR and Chad). Project-financed activities complemented the MoU and promoted capacity building and other activities for improved road safety results. It equally set up a partnership model that brings together the dispersed road safety activities of the public, private, humanitarian sector and civil society. Discussions are ongoing in Chad and CAR to replicate lessons learned, best practices and results achieved in Cameroon under the "Africa Road Safety Corridor Initiative" (ARSCI), which has achieved significant results. For example, (i) the dialogue and support to civil society/non-governmental The World Bank CEMAC - Transport-Transit Facilitation (P079736) organizations (NGO) led to the creation of a coalition of 35 NGOs who are currently active in road safety activities; and (ii) the partnership with the private sector led to the creation of the Safe Way Right Way (SWRW) Foundation in Cameroon, which is a forum for sharing knowledge and best practices on traffic accident prevention among the members (10 major transport companies). 5. The PDO remains achievable with the proposed extension of the closing date. The performance of the project implementation units (PIU) is considered as satisfactory; and the Task Team and the PIUs have agreed on action plans and updated procurement plans that will be undertaken by the PIUs to complete the Project within the revised closing date. There are neither outstanding nor overdue audits in Chad, CAR and Cameroon. 6. Considering the critical importance of the two corridors (Douala – Ndjamena and Douala – Bangui), the completion of the IDA-funded civil works is essential. Moreover, despite the challenging security conditions on the ground, the project objectives remain fully relevant. 7. The Project is in compliance with key covenants, including audit and financial management (FM) reporting requirements. Legal covenants that are partially complied with or not yet due are expected to be met (see Annex 1). The Project has complied with all fiduciary, environmental, and social safeguard requirements. FM and procurement have been carried out in accordance with the World Bank Financial Management and Procurement Guidelines. Specific safeguard instruments have been designed, approved and disclosed and are being implemented within the challenging security context, with specific emphasis on GBV, operational health and safety (OHS), and GRM. Where needed, retrofitting with regards to GBV is ongoing. 8. The Ngaoundere - Garoua road activities affected the Benoue National Park by reducing its surface area (Decree No 2016/3277/PM of August 11, 2016 deducts 0~4 hectares (ha)). As per the Environmental and Social Management Plan (ESMP) and local forest law requirement, the deducted surface was supposed to be compensated with 04 additional ha deducted from peripheral zones. The compensated area was set by surveyors but the legal action is still pending. Because of this pending issue, Natural Habitats (OP/BP 4.04) is still rated MU and so is the overall safeguards performance. OP/BP 4.12 Involuntary Resettlement is rated MS. 9. The original project financing (covering Cameroon, CAR, and Chad) has disbursed 91 percent of its total funding of SDR 132.9 million; the first AF (covering Cameroon, and CAR) has disbursed 78 percent of a total of SDR 138.6 million; the second AF (covering Cameroon) has disbursed 30 percent of a total of SDR 70.7 million; and the third AF (covering CAR) has disbursed 21 percent out of a total of SDR 80.7million. 10. The requests to extend the project closing date were received in June 2018 from the three Governments of Chad, Cameroon and CAR. The proposed 17-month extension to the Project closing date would allow the completion of all the relevant civil works and other activities funded under the Project that are required to achieve the PDO. The proposed restructuring does not entail any (i) change in scope or nature of Project activities; (ii) change in implementation arrangements; or (iii) other amendments to the Legal Agreements. With the extension of the closing date the Project’s PDO remains achievable, and the performance of the Borrowers remain satisfactory, and the World Bank agreed upon actions with the Borrowers that will be undertaken to complete the Project. The World Bank continues to closely monitor the Project’s status, including through monthly meetings at World Bank Directors’ level. II. DESCRIPTION OF PROPOSED CHANGES Change in Loan Closing Date(s) The World Bank CEMAC - Transport-Transit Facilitation (P079736) 11. The proposed 17-month extension would allow the completion of all civil works and other project activities that are required to substantially achieve the PDO. Specifically: a. CAR: The country remains in socio-political strife which has negatively impacted project activities. The Bouar-Baoro road section of the Bangui – Garoua Boulai corridor carries about 80 percent of the country’s freight traffic and is critical to the economy. The extension of the closing date until June 30, 2020 would allow the completion of the works between Baoro and Bouar. The contract for the road works was signed in February 2018 for a duration of 20 months commencing March 21, 2018. Mobilization of the contractor is ongoing. The Government of Central African Republic (GoCAR) still considers this a high priority and is strongly committed to its full completion as soon as possible. The specific security arrangements countrywide between United Nations Multidimensional Integrated Stabilization Mission in the Central African Republic (MINUSCA) and GoCAR should help to substantially mitigate the security concerns. The extension of the closing date would also allow the continuation of road safety and facilitation activities, in particular the sub-regional dialogue on the implementation of the single transit regime. If necessary and if resources permit, the Project will leverage the proposed extension of the closing date to carry out studies to support the pipeline of projects and the development of the country’s transport strategy including road investment planning and road maintenance aspects. No additional funding is foreseen. The GoCAR’s request for extension was for 26 months but after further discussions with the PIU, it was agreed that 17 months would be sufficient to complete the above-mentioned activities and the second phase of the labor-intensive program. b. Cameroon: The extension of the closing date would allow the completion of the rehabilitation works of the 205- km stretch of road from Mora-Dabanga-Kousseri. That road section is considered the most deteriorated part of the Douala-Ndjamena corridor and is of critical regional importance. Its current condition exacerbates the isolation of the Far North region and hampers efforts to improve the integration of the northern regions with the rest of the country. This road section is thus critical to the economic and social development, and long-term stabilization of a fragile and unstable sub-region. (i) The road rehabilitation works came to a halt when the foreign contractors had several of their workers abducted by Boko Haram in May 2014. The abducted workers were released unharmed on October 11, 2014 but the contractors requested termination of their contracts for ‘force majeure’, which was done for both contracts after in-principle no-objection of the World Bank. Only the finalization of the settlements of termination with the two contractors is still pending. In the meantime, no other qualified firms had indicated an interest in the rehabilitation of this road. (ii) The Mora-Dabanga-Kousseri road works have now resumed under an Output Based Disbursement Force Account (OBDFA) approach executed by Cameroon’s Army Corps of Engineers (ACE), and were launched on March 1, 2018 for a duration of 21 months. The OBDFA approach was approved by the Board on February 13, 2017 and is now under implementation through specific implementation arrangements to enable the execution of the OBDFA as well as to mitigate the various associated risks identified. In addition to the high security risks, this approach entails other risks including high social, safeguards, fiduciary, operational and reputational risks. These implementation arrangements include, but are not limited to:  A Collaboration Framework (CF), signed between Ministry of Defense (MINDEF) and the Ministry of Public Works (MPW), describing the proposed OBDFA institutional and operational arrangements in a manner that is satisfactory and acceptable to the World Bank.  Establishment of high standard rules for the selection of military personnel assigned to a Permanent Security Unit (Détachement de Sécurité des Travaux - DST) specifically set up for the purpose of the resumption of the works and ACE, and training of both DST and ACE personnel in international humanitarian law and human rights as well as gender-based violence issues and awareness. The World Bank CEMAC - Transport-Transit Facilitation (P079736)  Certification by the MINDEF that background and security checks are performed to ensure that both ACE and DST personnel have not been found guilty of improper behavior and abuse and are complying with the Military Code of Justice and Code of Conduct. Any member of the ACE or the DST that is accused of any violation or abuse will be immediately removed from the Project area and prosecuted in a court of competent jurisdiction.  A GRM was designed jointly by MPW and MINDEF and set up before the start of road rehabilitation works. The GRM ensures that any issues are proactively being identified, in case of sensitive complaints that are not likely to be raised. A local NGO was contracted by MPW to implement the GRM while overall responsibility for the functioning and reporting remains with MPW in collaboration with MINDEF.  A TPM was hired by the World Bank to support its supervision activities. The TPM was hired for a period of 19 months and its contract will end on January 30, 2019. The TPM has provided important supervision data on a monthly basis to the World Bank team regarding progress on the ground and compliance with contractual arrangements and World Bank policies. Depending on progress during the remaining duration of the TPM contract and on the evolution of the security situation, adjustments to the current TPM may be decided by the World Bank upon expiration of the TPM contract. Evidence so far suggest that local NGOs on the ground are providing the most accurate and useful information about project implementation and eventual issues. (iii) All risks associated with the heavy presence of the military and the ongoing presence of Boko Haram in the Project area might not be fully mitigated. In case of serious incidents that would require immediate remedial actions, the World Bank will be able to rely on legal covenants and remedies that have been incorporated in the amended Financing Agreements. The main ones are the following:  Suspension remedies: If the CF is amended, suspended, terminated or waived, to the extent that the operations, security, code of conduct and other arrangements established in that CF are adversely or completely changed;  Security covenants: Requirement that the works contract includes appropriate safeguards for the management of the security risk resulting from conflicts; and that for all military personnel assigned to guard the works, to comply with the security arrangements and the code of conduct, including taking the mandatory training;  Social risk mitigation covenants: Requirement for enforcement of high standard rules for the selection of military personnel and ACE personnel involved in the works, and removal of any personnel involved in any alleged violation or abuse; and that, before any works could start, all military personnel involved in the security of the area will have to receive relevant training (international humanitarian law, civilian- military engagement, gender–based violence and other relevant areas). (iv) In Cameroon, the extension of the closing date will also allow: (i) the continuation of trade facilitation activities and support the sub-regional dialogue on the effective implementation of the new transit regime; (ii) the completion of the railway infrastructure improvement activities focusing on rail track rehabilitation, bridges rehabilitation, stations depollution, and signaling; and (iii) the undertaking of studies to support the preparation of a new rail project. b. Chad: The proposed extension of the closing date will support the completion of the ongoing construction of the Customs General Directorate building, which was possible due to a reallocation of funds following the restructuring in April 2018. The resumption of construction is already on the critical path, with mobilization slower than expected. Safeguard prerequisites also need to be met before the resumption of works. As for CAR and Cameroon, the extension of the closing date would also support the sub-regional dialogue on the implementation of the new transit regime, and implementation of road safety activities in line with the National Road Safety Strategy. The The World Bank CEMAC - Transport-Transit Facilitation (P079736) Project will leverage the time extension to conduct studies to support the pipeline of projects and development of the road investment strategy including regional corridors (connecting to Niger and Sudan). 12. This proposed restructuring is for an extension of the Project closing date for all three countries rather than selective extension. However, in the context of this restructuring, it is understood that: (i) In Cameroon, an extension to the CF will not be granted unless the Mora-Dabanga-Kousseri road works continues to be executed in a satisfactory manner to the World Bank. (ii) If activities in any one of the countries targeted by the Project are completed before the proposed 17-month extension, the Project would close in the given country. Change in Disbursement Estimates 13. The proposed restructuring, in addition to the extension of the closing date, also introduces changes in the disbursement estimates, implementation schedule to reflect the proposed extension of 17 months, and consequently, the completion of all the relevant civil works and other activities funded under the Project that are required to achieve the PDO within the new proposed timeline. Change in Results Framework 14. With this proposed restructuring the results framework will be revised to reflect the revised end target date. III.
