Amendment No. 2 to the Supplemental Arrangement between the Government of Canada, acting
 through the Department of Foreign Affairs, Trade and Development (DFATD) and the International
 Bank for Reconstruction and Development and the International Development Association regarding
             the Umbrella Facility for Gender Equality (UFGE) Multi-Donor Trust Fund

              (Trust Fund No. TF072809 parallel to original Trust Fund No. TF071893)

1.       Reference is made to the Supplemental Arrangement between the Government of Canada acting
through the Department of Foreign Affairs, Trade and Development (DFAT D) (the “Donor”) and the
International Bank for Reconstruction and Development and the International Development Association
(collectively, the “Bank” and together with the Donor, the “Participants” and each a “Participant”)
regarding the Umbrella Facility for Gender Equality (UFGE) Multi-Donor Trust Fund (Trust Fund No.
072809) effective as of August 27, 2018 (the “Supplemental Arrangement”).

2.      The Bank acknowledges that the Donor has decided, subject to legislative appropriations, to
provide the sum of sixteen million Canadian Dollars (CAD 16,000,000) (the “Contribution”) for the Trust
Fund in accordance with the terms of the Supplemental Arrangement.

3.      The Donor will deposit the Contribution in accordance with the following schedule and in the
currency specified in paragraph 2 above into such bank account designated by the Bank (each amount
deposited referred to as an “Installment”) upon submission of a payment request by the Bank:

        (A)     By December 1, 2019– CAD5,500,000
        (B)     By December 1, 2020– CAD3,500,000
        (C)     By December 1, 2021– CAD7,000,000

4.      The Contribution is being provided in Installments on the basis of financial needs of the Trust Fund.
If the Bank determines, on the basis of the speed of the implementation of the activities and availability of
funds in the Trust Fund, that it is necessary to either bring Installments forward or delay them, the Bank
and the Donor will discuss and agree to revise the Installment schedule, as confirmed by the Bank to the
Donor in writing.

5.       The Donor has expressed its preference that the Contribution be used to finance the Gender
Innovation Laboratory (GIL)/Innovative Finance Women Entrepreneur (IFWE) window. It is understood
that the Bank cannot ensure that the Contribution will be used for such preference and that the Bank will
not have any obligation to the Donor if such preference cannot be achieved.

6.      When making a deposit, the Donor will instruct its bank to include in its deposit details information
(remittance advice) field of its SWIFT deposit message, information indicating: the amount deposited, that
the deposit is made by the Donor for Trust Fund No. 072809 (the Umbrella Facility for Gender Equality
(UFGE) Multi-Donor Trust Fund), and the date of the deposit (the “Deposit Instructions”). In addition, the
Donor will provide a copy of the Deposit Instructions to the Bank’s Accounting Trust Funds Division by
e-mail sent to tfremitadvice@worldbank.org or by fax sent to (202) 614-1315.

7.      The Bank will convert the Contribution funds into the holding currency of the Trust Fund, namely
United States Dollars, where applicable, promptly upon receipt of the Contribution funds at the exchange
rate obtained by the Bank on the date of the conversion. Where the Contribution proves to be insufficient
to complete the activities as a result of an exchange rate fluctuation, neither the Bank nor the Donor will
bear any responsibility for providing any additional financing.

8.      All other terms of the Supplemental Arrangement will remain the same.
9.       Each of the Participants represents, by confirming its acceptance below, that it is authorized to enter
into this Amendment and act in accordance with its provisions. The Bank and the Donor are each requested
to sign and date this Amendment, and upon possession by the Bank of this fully signed Amendment, this
Amendment will come into effect as of the date of the last signature.
